INTRODUCTION This Annual Continuing Disclosure Report (“Annual Report”) is being prepared and filed pursuant to the Continuing Disclosure Certificate (“Disclosure Certificate”) executed and delivered by the City of Bakersfield (the “City”) in connection with the issuance and delivery of the City Assessment District No. 05-1 (City in the Hills) Limited Obligation Improvement Bonds (the “Bonds”). Bond were issued pursuant to a resolution adopted by City Council on November 9, 2005, authorizing the issuance of the Bonds, Resolution No. 251-05. The Bonds were issued on December 21, 2005 in the aggregate principal amount of $15,595,000, the proceeds of which were used to finance (i) the acquisition of certain public infrastructure improvements for the Assessment District, which improvements will be owned, operated, and maintained by the City (collectively, the “Improvements”), (ii) the cost to pay off existing parcel assessments confirmed pursuant to the City of Bakersfield Assessment District No. 93- 1(Northeast Sewer) (“AD 93-1”); and (iii) the payment of certain incidental costs and expenses related to the acquisition of the Improvements, the Assessment District proceedings, and the issuance of the Bonds, including the establishment of a Special Reserve Fund for the Bonds and the funding of capitalized interest on the Bonds through September 2, 2006. ANNUAL REPORT REQUIREMENTS The following information is provided pursuant to Sections 4 and 5 of the Disclosure Certificate. A. Audited Financial Statements: A copy of the City’s Comprehensive Annual Financial Report (“CAFR”) for the fiscal year ending June 30, 2015 has been filed separately with the Electronic Municipal Market Access (“EMMA”). THE CITY OF BAKERSFIELD’S ANNUAL FINANCIAL STATEMENT ARE PROVIDED SOLELY TO COMPLY WITH THE SECURITIES EXCHANGE COMMISSION STAFF’S INTERPRETATION OF RULE 15c2-12. NO FUNDS OR ASSETS OF THE CITY OF BAKERSFIELD (OTHERTHAN THE ASSESSMENTS LEVIED IN THE ASSESSMENT DISTRICT) ARE REQUIRED TO BE USED TO PAY DEBT SERVICE ON THE BONDS, AND THE CITY IS NOT OBLIGATED TO ADVANCE AVAILABLE FUNDS FROM THE CITY TREASURY TO COVER ANY DELINQUENCIES. INVESTORS SHOULD NOT RELY ON THE FINANCIAL CONDITION OF THE CITY IN EVALUATING WHETHER TO BUY, HOLD, OR SELL THE BONDS. B. Principal Outstanding: The Bonds were issued on December 21, 2005. The principal outstanding on the Bonds as of September 3, 2015 are described as follows: Table 1 PRINCIPAL OUTSTANDING AS OF SEPTEMBER 3, 2015 ISSUE PRINCIPAL OUTSTANDING Bonds $8,925,000 On September 2, 2015 $1,005,000 of bonds were called for redemption in advance of maturity. Since all improvements were completed for the District, a surplus was declared and the remaining balance in the Improvement Fund was used to call bonds. Note that an event filing notice was filed on July 29, 2015 by US Bank National Association in regards to the bond call. C. Fund Balances: The balances as of December 31, 2015 of the funds established when the Bonds were issued are shown in the table below. The funds are currently being held by U.S. Bank National Association, acting as fiscal agent (“Fiscal Agent”). Reserve Fund Requirement: The official statement for the bond issue defines the “Special Reserve Requirement,” as the least of (a) ten per cent (10%) of the proceeds of the Bonds, or (b) the maximum debt service on the Bonds, or (c) one hundred twenty-five per cent (125%) of the average annual debt service on the Bonds, less any amounts transferred to the Redemption Fund when assessments are paid following the issuance of the Bonds. Under this definition, the Reserve Requirement will be reduced as a result of prepayments of Reassessments or bond calls. Table 3 SPECIAL RESERVE REQUIREMENT/BALANCE AS OF DECEMBER 31, 2015 DESCRIPTION AMOUNT Special Reserve Fund Balance $861,694.94 Special Reserve Fund Requirement $1,178,027.50 Special Reserve Fund Shortfall ($316,332.56) Subsequent event: On March 17, 2016 the City deposited $168,305.06 into the special reserve fund, bringing the balance of the special reserve fund up to $1,030,000. The special reserve fund shortfall as of the date of this report is $148,027.50. E. Delinquency History and Foreclosure Status: See Appendix A to this Report for a detailed listing of each parcel that is delinquent, the total delinquent amount, the date of the first delinquency and any foreclosure actions that have taken place. F. Status of Completion of Public Improvements: The Disclosure Certificate requires a statement of the status of completion or progress toward completion of the public improvements described in the Official Statement under the subheading “THE ASSESSMENT DISTRICT AND THE IMPROVEMENTS – Description of the Assessment District and the Improvements”: The City has reported that as of the date of this Annual Continuing Disclosure Report, all improvements authorized for the AD 05-1 financing, including all approved changes in work and proceedings for AD 05-1, have been completed and all eligible payment claims for those authorized and completed improvements have been paid by the City. Excess funds in the improvement fund were used to call bonds in the amount of $1,005,000 on September 2, 2015. G. Bonds Priority of Liens: The City has reported that as of the date of this Annual Continuing Disclosure Report, no other special tax or assessment liens have been issued against the parcels located within the boundaries of AD 05-1. Therefore, the assessment lien for AD 05-1 continues Annual Disclosure Report, FY Ended June 30, 2015 City of Bakersfield AD No. 05-1 Limited Obligation Improvement Bonds 4 to have priority over all private liens and is co-equal to and independent of the lien for general property taxes as summarized in the Bonds Official Statement under the subheading “THE BONDS – Priority of Lien.” H. Reporting of Significant Events: There were two significant event notices filed for fiscal year ended June 30, 2015 and two additional notices filed prior to December 31, 2015 as described below. On September 5, 2014 a Notice of a Listed Event was filed In accordance with Section 5(a) (viii) of the Continuing Disclosure Certificate. On September 2, 2014, an unscheduled draw on the Special Reserve Fund for $104,014.49 was made to pay a portion of the September 2, 2014, debt service payment on the Bonds. The unscheduled draw on the Special Reserve Fund was necessitated by the failure of certain landowners within the District to pay when due the Special Assessments applicable to such landowners' District property. The City has initiated foreclosure proceedings for all delinquent assessment installments in accordance with the terms of the Bond Resolution. In accordance with Section 5(a) of the Continuing Disclosure Certificate a second Notice of Significant Event was filed on January 29, 2015 titled “Replenishment of Reserve Fund and anticipated future draw”. The notice stated that “as has been previously reported on September 2. 2014 an unscheduled draw on the Special Reserve Fund for $104,014.49 was made to pay a portion of the September 2, 2014, debt service payment on the Bonds. As of the date of this notice, the amount of such draw from the Special Reserve Fund has been replenished using a portion of the first installment of Special Assessments paid in fiscal year 2014-15. Following such replenishment, the balance on deposit in the Special Reserve Fund is $1,309,495.00, which is equal to the current Reserve Requirement. The City anticipates, however, that, if the Special Assessment delinquencies are not cured prior to the September 2, 2015, Bond principal payment date, the City may be required to make an unscheduled draw on the Special Reserve Fund to pay a portion of the debt service payable with respect to the Bonds on such date. At this time, the City cannot determine the amount of such draw, if required.” On January 27, 2015, the City held a second foreclosure sale for the parcels that were previously offered for sale on July 16, 2013. All of such parcels are owned by a single landowner within the District (Regent Land Investment Co. LLC). Again, however, such foreclosure sale did not generate any bids or offers to purchase the delinquent parcels being offered for sale. The City may hold additional foreclosure sales for the same parcels in the future, to the extent such parcels remain delinquent. As anticipated and stated in the January 29, 2015 Significant Event Notice, there was an additional Significant Event Notice filed on September 4, 2015 for an Unscheduled draw on the Special Reserve Fund. On September 2, 2015, an unscheduled draw on the Special Reserve Fund for $447,800.06 was made to pay a portion of the September 2, 2015, debt service payment on the Bonds.
