("KAB") is a national, non-profit public education organization with programs, such as the Great American Cleanup program, designed to educate individuals about litter prevention and ways to reduce, reuse, recycle and properly manage waste materials, and thereby enhance the environment of their respective communities; WHEREAS, through partnerships and strategic alliances with citizens, businesses and government, KAB's programs have motivated millions of volunteers annually to clean up, beautify and improve their neighborhoods, thereby creating healthier, safer and more livable community environments; and WHEREAS, many cities throughout the United States have established affiliates, which have successfully implemented KAB programs; and WHEREAS, the City of Bakersfield ("City") by and through its City Council created a Keep Bakersfield Beautiful Committee ("KBBC"), as an affiliate of KAB, pursuant to Ordinance 3965, for the purpose of improving the cleanliness and appearance of the City, and thereby, enhance the overall health and welfare of its citizens; and WHEREAS, the KBBC bylaws were adopted on February 13, 2004; and WHEREAS, KBBC desires to amend its bylaws to comply with the Brown Act and change the name of the Standing Subcommittee "Education Subcommittee" to "Education/Image Subcommittee" in order to consolidate education and image activities into one Subcommittee. NOW THEREFORE, the amended bylaws for the KBBC are as follows Section 1. Name of Committee This Committee shall be called the Keep Bakersfield Beautiful Committee. Section 2. Mission Statement Keep Bakersfield Beautiful serves to engage individuals to take greater responsibility for improving their community. — Page 1 of 6 Pages — Section 3. Business Office This Committee's business office shall be located at the City of Bakersfield Public Works Department, Solid Waste Division, 4101 Truxtun Avenue, Bakersfield, California, 93301. Section 4. Powers and Duties This Committee is formed to recommend to the City Council, policies and specific programs which promote the mission statement of the KBBC as reflected above, and to actively participate in the implementation of various programs and projects to achieve the KBBC mission statement. Section 5. Committee Members This Committee shall consist of eight voting Committee Members, eight Alternate Committee Members (having voting rights only in the event that their respective Councilmember/Mayor Committee Members are absent from a KBBC vote) and a non-voting Committee Coordinator. The Committee Coordinator, Committee Members and Alternate Committee Members shall be appointed and serve terms as set forth in Bakersfield Municipal Code section 2.62. If a member is absent from two KBBC meetings within a calendar year, KBBC may recommend to the City Council that the member be replaced. Section 1. Chairoerson and Vice-Chairoerson This Committee shall elect, from its members, a chairperson and vice - chairperson to serve a one-year term. The Committee shall hold the election during its regular January meeting. If the position of chairperson or vice - chairperson becomes vacant during the course of the year, the committee members shall elect a replacement to serve for the balance of the year. Section 2. Duties of Chairperson The chairperson shall preside at all meetings of the Committee and perform the duties necessary or incidental to the office. This includes calling special meetings and signing documents or instruments on behalf of KBBC. — Page 2 of 6 Pages — Section 3. Duties of Vice-Chalrperson The vice -chairperson, in the absence of the chairperson, or when the chairperson is unable to act, shall perform the duties of the chairperson. Section 4. Temporary Chairperson If both the chairperson and vice -chairperson are absent or unable to act, the Committee shall elect one of its members to act as temporary chairperson to serve until a replacement is elected, if necessary. Section 5. Secretary and Administrative Staff The Committee Coordinator shall assign a representative to serve as secretary to the KBBC. The secretary shall keep minutes of each meeting, record the official actions taken, record the vote of all official actions, certify each official act and resolution of the KBBC, maintain records of the KBBC operations and perform such other duties as the KBBC or Committee Coordinator assigns. Section 6. Subcommittees KBBC Shall Have the Followina Standina Subcommittees 1. Graffiti Abatement Subcommittee 2. Beautification & Community Improvement Subcommittee 3. Education/Image Subcommittee 4. Litter Subcommittee 5. Waste Reduction & Recycling Subcommittee The chairperson shall appoint a KBBC member to head each of these subcommittees. The chairperson of each subcommittee shall secure as many volunteers as necessary from the community to help pursue the goals of each subcommittee. Section 7. Advisory Board KBBC shall also have an advisory board who reports to the KBBC at the pleasure of the KBBC. Members to the Advisory Board may be appointed by majority vote of the KBBC. — Page 3 of 6 Pages — Section 1. Reaular Meetinas KBBC shall hold its regular meetings on the second Friday of each month at noon at City Hall North. The Committee may hold its meetings at another place within the City upon recommendation from the Committee Coordinator and approval by the Committee Chairperson. Section 2. Quorum Five (5) Committee Members constitutes a quorum. Alternate Committee Members may only vote in the event that their respective Councilmember/Mayor Committee Members are absent from a KBBC vote. Section 3. Rules of Order This Committee shall follow Roberts Rules of Order, latest edition. Section 4. Order of Business In the absence of approval of an agenda to the contrary, KBBC shall pursue the following order of business: A. Roll Call B. Public Statements C. Approval of Minutes D. Deferred Business E. New Business, including Standing Subcommittee Reports F. Committee Member Statements G. Adjournment Section 5. Public Statement At regular meetings, the chairperson shall allow any member of the public to address the Committee on items within the jurisdiction of the KBBC. No individual speaker shall speak for more than two (2) minutes. The chairperson, in his or her discretion, may, for good cause, increase the time allowed for public statements. Section 6. Cancellation of Meetings If KBBC has no business, or if the secretary determines a quorum is not available, the chairperson may cancel a regular meeting. The secretary shall make — Page 4 of 6 Pages — reasonable efforts to give timely notice of cancellation to all members and to all other persons to whom the secretary normally gives notices of meetings. Section 7. Public Holidays If a regular meeting falls on a public holiday, the KBBC shall not meet on that date. The chairperson may reschedule or cancel the meeting and the secretary shall arrange for delivery of proper notice. Section 8. Adiourned Meefinos The KBBC may adjourn a meeting to another date, time and place. Section 9. Special Meetinas The chairperson may call a special meeting of the KBBC. The secretary shall give notice of a special meeting, as required by law. In a special meeting, the KBBC may only deal with matters recited in the notice. Section 1. Amendments. "Amendment" means a modification or addition to an existing bylaw. Section 2.
