RESOLUTION IN ACCORDANCE WITH
MUNICIPAL CODE CHAPTER 3.20.060
DETERMINING THAT WORK, SUPPLIES,
EQUIPMENT, OR MATERIALS CAN ONLY BE
REASONABLY OBTAINED FROM ONE VENDOR
BECAUSE OF RESTRICTED AVAILABILITY OF
SUCH WORK, SUPPLIES, EQUIPMENT OR
MATERIALS
RECITALS
WHEREAS, Pacific Gas and Electric (PG&E) offers an energy efficiency
program both to provide On -Bill Financing (OBF) at zero interest (0%) and provide
complete end-to-end turnkey services to retrofit and convert older inefficient street
lights with new energy efficient Light Emitting Diode (LED) fixtures; and
WHEREAS, zero interest OBF loan funds can be used to finance projects by
using the annual energy cost savings to pay the debt service; and
WHEREAS, the City has analyzed the cost savings from retrofitting street lights
with Light Emitting Diode (LED) light fixtures and found it to be favorable to the City;
and
WHEREAS, there is a deadline of June 30, 2018, for completion of an LED
retrofit project in order for PG&E to receive rebates for LED fixtures; and
WHEREAS, the City has evaluated all options and determined it is not feasible
for the City to go through a standard procurement process and complete a
streetlight retrofit project prior to June 30, 2018; and
WHEREAS, PG&E is capable of and has committed to performing the tasks
and services through their Turnkey Streetlight Replacement Program (LED Turnkey)
for a citywide streetlight replacement project; and
WHEREAS, PG&E uses competitive bidding to select qualified contractors for
LED retrofit installation work and to purchase the LED fixtures; and
WHEREAS, the City must dispense with bidding and proceed with a Master
Services Agreement and a Workorder Streetlight Replacement Agreement with
PG&E for the LED Turnkey retrofit program; and

NOW, THEREFORE, BE IT RESOLVED, by the Council of the City of Bakersfield as
follows:
The above recitals are true and correct
2. Based on the facts included in the above recitals, the LED retrofit
project's work, supplies, equipment and materials can only be
reasonably obtained from one vendor, PG&E, because of restricted
availability of such work, supplies, equipment and materials, allowing
the dispensing of bidding requirements as set forth on Section 3.20.060
of the Bakersfield Municipal Code.
3. The City Council authorizes the City of Bakersfield to execute a Master
Services Agreement and a Workorder Streetlight Replacement
agreement with PG&E to retrofit streetlights with LED fixtures citywide.
4. The City Council hereby authorizes the City of Bakersfield to accept a
zero interest loan up to $4,500,000. The amount of the loan will be paid
in full using energy cost savings under the terms and conditions of the
On -Bill Financing Loan Agreement.
5. The City Council hereby authorizes the Finance Director to execute on
behalf of the City of Bakersfield all necessary loan documents to
implement and carry out the purpose of this resolution, and to
undertake all actions necessary to undertake and complete the
energy efficiency projects.
6. In compliance with the California Environmental Quality Act (CEQA),
the City Council finds that the project is exempt pursuant to CEQA
guidelines Section 15302(c) which exempts replacement and
reconstruction of existing utility systems and/or facilities involving
negligible or no expansion of capacity.
