FISCAL IMPACT: None ATTACHMENTS: None BAKERSFIELD COMMUNITY LAND TRUST MEETING DATE: February 19, 2025 AGENDA CATEGORY: New Business TO: Bakersfield Community Land Trust Board of Directors FROM: Betsy McGovern-Garcia, Vice President, Self-Help Enterprises DATE: February 12, 2025 SUBJECT: Agreement between Bakersfield Community Land Trust and Self Help Enterprises RECOMMENDATION: Informational Item Only BACKGROUND: Self-Help Enterprises (SHE) has commenced legal work for the BCLT.The need and purpose of a Project Administration Agreement will be discussed, with general outline of potential terms,for the purpose of discussion and general direction from the Board. A form of agreement would then be brought to the next board meeting for review and potential approval. The general topic of the agreement is to define the roles and responsibilities of SHE in implementing the Project known as the Bakersfield Administration and Implementation Project, which was awarded to SHE through the Agreement dated November 20, 2024, City of Bakersfield Agreement 2024-305 (the Project Agreement). On December 12, 2024,the Bakersfield Community Land Trust (BCLT) adopted a Resolution affirming the City's Council's agreement with SHE to administer and operate the BCLT. The Scope of the Project,which is to be paid for from the funds awarded under the Project Agreement, is set forth in a detailed Scope document, pages A-1 through A-7 of the Project Agreement. Among other things,the scope calls for the use of a $6.5 million of Coronavirus State and Local Fiscal Recovery Fund ("SLFRF")funding for the purpose of administering the BCLT, and conducting certain activities through the BCLT related to acquisition of parcels through donation from the City of Bakersfield, and use of funding to develop affordable housing on the acquired parcels. A total of 12 specific Tasks are identified in the Scope. The BCLT is not a party to the Project Agreement. In light of this,to implement the Project, SHE has identified a need to enter into an agreement with the BCLT. Outline of Agreement Terms There are two major areas to be addressed by a Project Administration Agreement 1) Administration. Agree that SHE can provide for the management of the business of the BCLT. This would be in furtherance of Task 11 (BCLT Administration) of the Project Scope. Examples of terms that will need to be established - Officers: o SHE will identify personnel to function as President, Secretary and Treasurer, as defined in the BCLT bylaws, and the BCLT will be asked to accept those assignments. - Administrative activities o SHE will be authorized to obtain other administrative functions by contract, such as procurement of legal services to assist in review and advisement of the other Project Tasks - Management of Accounts o SHE will need to be authorized to manage financial accounts - Payment of Administrative Costs o SHE's costs in performing the administration Task will be billed to the City of Bakersfield under the Project Agreement,Task 11 budget item. 2) Project Tasks. Identify specific next steps and understandings between SHE and the BCLT regarding how the remaining Tasks of the Project Agreement are to be implemented. Examples of terms that will need to be established o Acquisition activities that are called for under the various Tasks will be administered by SHE in the name of BCLT, with title to reside with BCLT. o The construction activities that are called for under the various Tasks, which are to be paid for from Project Agreement Funds, will be administered by SHE but undertaken in the name of the BCLT. o SHE will be responsible for coordinating disbursement of funding between City of Bakersfield and BCLT accounts, and for ensuring compliance with any applicable funding use conditions and reporting requirements, and BCLT agrees to designate the power and responsibility for meeting those requirements to SHE. o SHE's administration costs in administering the tasks to be undertaken in the BCLT name are to be billed to and paid from administration budget items in the Project Agreement Scope. Assuming the BCLT agrees with proceeding with a Project Administration Agreement, a form of agreement will be presented at the March meeting for discussion and approval. FISCAL IMPACT: None ATTACHMENTS: None BAKERSFIELD COMMUNITY LAND TRUST MEETING DATE: February 19, 2025 AGENDA CATEGORY: New Business TO: Bakersfield Community Land Trust Board of Directors FROM: Heather Mendonca, Assistant Director—Real Estate Development, Self-Help Enterprises DATE: February 11, 2025 SUBJECT: Affordable Housing Product Selection RECOMMENDATION: Staff recommends BCLT Board provide policy oversight and guidance to Self-help Enterprises(SHE)on the design and selection of the affordable housing products to be deployed on tier 1 and 2 parcels owned by the City and being transferred to the Bakersfield Community Land Trust (BCLT). BACKGROUND: On November 20, 2024,the City Council approved Agreement 2024-305 (the"Agreement")with Self-Help Enterprises(SHE)to not exceed$6,500,000 in ARPA funds to establish BCLT operations, develop a housing and expenditure plan for the ARPA funding, develop affordable housing through the acquisition and buy down of single or multi-family properties, rehabilitation, and construction of City-owned infill vacant lots, and strategy for long term sustainability of the BCLT. On December 12, 2024,the Bakersfield Community Land Trust (BCLT) adopted a Resolution affirming the City's Council's agreement with SHE to administer and operate the BCLT. SHE has developed multiple Affordable Housing products to be utilized on BCLT properties.These are new products intended to meet the BCLT needs while simultaneously providing affordable housing opportunities for future City homeowners. The Standard Single-Family Product plans are 100% complete and ready to be submitted to the Building Department. These are plans developed previously by SHE, and through utilization of these plans, the BCLT will save approximately$110,000 in architectural fees and be able to meet the 24-month timeline in the Agreement. The 2-Story Narrow or Zero Lot Line Product is still under development. SHE recommends BCLT Board review the draft plans to be utilized on tier 1 and 2 parcels owned by the City and being transferred to the BCLT, provide guidance to SHE on the goals of BCLT and policies the Board wishes to implement, and direct SHE to proceed with architectural plan submittal to the Building Department. FISCAL IMPACT: These activities are budged for in the Agreement and were planned for as routine deliverables in the implementation of BCLT activities. BACKGROUND: The Bakersfield Community Land Trust (BCLT) applied for designation as a nonprofit public benefit corporation organized exclusively for charitable purposes, within the meaning of section 501(c)3 of the Internal Revenue Code of 1954. BACKGROUND: On November 20, 2024,the City Council approved Agreement 2024-305 (the"Agreement")with Self-Help Enterprises (SHE) which include administration of the business operations of the BCLT. On December 12, 2024, the Bakersfield Community Land Trust (BCLT) adopted a Resolution affirming the City's Council's agreement with SHE to administer and operate the BCLT. SHE has been working with Alliant Insurance to develop an insurance plan for BCLT. Alliant is the broker for the City of Bakersfield and the City requested SHE work with Alliant to obtain insurance coverage. The BCLT insurance should include the following: ■ General Liability coverage—provides liability coverage for all BCLT operations. ■ Directors& Officers Liability—protects the D&O of BCLT. ■ Course of Construction Insurance — will be required when the BCLT has projects under construction. ■ Construction general Liability— required when projects are under construction to cover liability associated with construction activities. Workers' compensation and auto coverage are currently not required because there are no employees or travel authorized on behalf of the BCLT. She recommends the BCLT Board approve the quote for Directors & Officers Liability coverage in the amount of$1,000,000 with a premium fee of$1,350. BACKGROUND: This is an introductory item only. Specific transaction details, and authorization to accept the transfer of properties subject to restrictive covenant,will be developed for discussion and approval at a future meeting. Under the Agreement with the City of Bakersfield, it was envisioned that SHE, acting on behalf of the BCLT,would acquire certain parcels owned by the City at no cost, subject to agreements to develop affordable housing on the transferred parcels, and subject to restrictive covenants setting forth restrictions on the use of the parcels so that the affordability objective is ensured. City staff and SHE have met to discuss the general terms of the affordability restrictions and identify the process for transfer of the first group of parcels. SHE believes the parcels have already been declared surplus by the City of Bakersfield, or are exempt from the surplus property process, so that the only necessary step before a transfer of the parcels can occur would be the negotiation and approval of the restrictive covenants that will be placed on the parcels Attorney Services: SHE has obtained the services on a temporary basis (not to exceed $10,000) of an attorney to assist in the property transfer process, and negotiation of the affordability restrictive covenants. SHE seeks ratification of the retention of the services of Peltzer& Richardson for that purpose. The services will be paid for from funds under the Project Agreement. In light of that,the law firm is advising that the following disclosure should be made and consent obtained: o The Firm is to be retained by SHE for the purpose of advising SHE in its role of implementing the Project. As part of those services,the Firm may directly advise the BCLT governing Board of Directors, and as such,the Firm's ethical duties as attorneys, including the duty of loyalty and confidentiality,will reside with the BCLT Board of Directors, not SHE. The Firm does not anticipate that this understanding will create a conflict with its representation of Self-Help Enterprises, because Self-Help Enterprises, as the contracted administrator of the BCLT, has the same duty of loyalty and confidentiality to the BCLT as the Firm will have. The Firm also needs to disclose that the funding used to pay for their services is being provided by a third party, namely the City of Bakersfield, under the Project Agreement with SHE. The City of Bakersfield's provision of funding to pay the Firm's services,which are to be provided to BCLT,will not provide the City of Bakersfield with the right to direct its services to BCLT, and instead that right will reside with SHE in your role as contract administrator, and with the BCLT Board of Directors. The Firm seeks confirmation that this arrangement has been disclosed, and seeks the consent of the Board of Director's to accept representation on this basis. o An action to approve this confirmation and acceptance of representation would be appropriate.
