potential litigation.
The meeting was reconvened from Closed
Session at 4:45 p.m.

Notice of Project Compliance pursuant
to Porter-Robertson Agreement (No. 92-2).
Motion by Paynter to adopt Items (a) APPROVED
through (c) of the Consent Calendar.

Loan Agreement with city of Bakersfield
to provide funds to be deposited in the
County Educational Revenue Augmentation
Fund (ERAF).
Motion by Araujo to approve Agreement.

APPROVED
Resolution authorizing the issuance of
tax allocation bonds of said agency in
a prinelpal amount of not to exceed ten
million dollars ($10,000,000) to refund
certain obligations of the Redevelopment
Agency of the City of Bakersfield, Down-
town Bakersfield Redevelopment Project
and approving certain documents and
taking certain other actions in
connection therewith.
Finance Director Klimko stated minor
change to the resolution, changing
wording "Board of Directors" to "Members
of the Agency".
Motion by Paynter to adopt Resolution
with change.

Carlson and Rauth to provide bond
attorney servioes for the refinancing
of Agency outstanding debt.

Motion by Rubin to set the workshop for
Friday, February26, 1993 in the base-
ment commencing at 8:00 a.m.
