ROLL CALL ACTION TAKEN Present: Absent: Agency Members Araujo, Cohrs (seated at 3:09), Gaskill, Lindsay, Morea, Prince, Sceales None OLD BUSINESS Continued hearing to consider the Disposition and Development Agreement with the city of Bakersfield and John Q. Hammons for the Bakersfield Conven- tion Center Hotel Project pursuant to the Tax Equity and Fiscal Responsibility Act of 1982 (TEFRA). Executive Director Tandy presented background information and apprised Agency of amendments made to the DDA from the initial document up to the final agreement for adoption today. Economic Development Director Wager distributed a memo, dated December 15, 1993, providing correspondence from Richard L. Botti, Keyser- Marstron Associates Inc., summarizing the review of the business assumptions used in the feasibility study by Hammons Group. Hearing opened. John Spaulding, Executive Secretary, Kern, Inyo & Mono Counties Building and Construction Trades Council, spoke regarding prevailing wages and submitted written correspondence. Hearing closed. Bakersfield, California, December 15, 1993 - Page 2 7.5 2. OLD BUSINESS continued ACTION TAKEN Hearing to consider the transfer of certain real property to John Q. Hammons and Juanita Hammons in connection with the Bakersfield Convention Center Hotel Project pursuant to the California Health and Safety Code Section 33433, and to consider the related Disposition and Development Agreement and other actions related to the transaction. (Joint Marketing/Booking Agreement, Catering Agreement, Ballroom Lease Agreement) No one spoke at hearing. Hearing closed. RES RA7-93 AGR RA93-10 AGR RA93-11 AGR RA93-12 AGR RA93-13 Motion byMorea finding that no significant changes have occurred relative to the environmental impacts of this project since certification of the original Negative Declaration by the city Council on Nay 18, 1982, and the filing of a Notice of Determination on September 19, 1986, a~d therefore no further environmental action is required with respect to this project; and to adopt Resolution approving the sale of the hotel site and the lease of the Convention Center Ballroom to John Q. H~mmons and Juanita H~mmons in accord- ance with the terms and conditions of the Disposition and Development Agree- ment; and to approve the Disposition and Development Agreement (DDA) between City of Bakersfield, Central District Development Agency and John Q. H~mmons and Juanita Hammons in the form presented, together with all attachments to the DDA, including, without limita- tion, the Joint Marketing/Booking Agreement, the Catering Agreement and the Ballroom Lease Agreement. NEW BUSINESS &CTION TAKEN Resolution authorizing the borrowing of funds and pledglng of base rental payments therefor, approving form of and authorizing execution of Loan Agreements; approvinging forms of and authorizing execution of a Lease Agree- ment, a Sublease Agreement and an Assignment Agreement and authorizing necessary actions in connection with the 1993 Hotel Project Lease Financing. Motion by Lindsay to adopt Resolution.
