RESOLUTION OF THE COUNCIL OF THE CITY OF
BAKERSFIELD ACCEPTING BILL OF SALE AND
GRANT DEED REGARDING CITY OF BAKERSFIELD
ASSESSMENT DISTRICT NO. 87-2
RESOLVED, by the City Council of the City of Bakers-
field, California, that:
WHEREAS, pursuant to the proceedings for City of Bakers-
field Assessment District No. 87-2 and Agreement No. 87-104
approved May 6, 1987, between City of Bakersfield and Tenneco
Realty Development Corporation, herein "Tenneco", certain public
improvements have been constructed by Tenneco and are to be
acquired by the City of Bakersfield; and
WHEREAS, in order to complete and establish the date of
transfer of title Tenneco has submitted a bill of
NOW, THEREFORE, IT IS ORDERED that
Sale dated August 18 , 1987, by Tenneco,
the public improvements are accepted hereby.

CERTIFICATE OF COMPLETION
I, J. DALE HAWLEY, Superintendent of Streets of the
City of Bakersfield and Engineer of Work for the City of Bakers-
field Assessment District No. 87-2, do hereby certify that that
certain project known as the Acquisition of Gateway Industrial
Park Public Improvements (Tentative Parcel Map No. 7744) des-
cribed in said Assessment District No. 87-2 and to be acquired by
the City of Bakersfield pursuant to City of Bakersfield Agreement
No. 87-104, has been completed and Notices of Completion filed by
Tenneco Realty Development Corporation and recorded in the office
of the Kern County Recorder on, respectively, November 11, 1986,
February 27, April 2, April 15, May 11, June 16, June 25, July 1,
and July 7, 1987. I further certify that a final inspection of
all of said work has been made and that it is complete pursuant
to the approved plans, specifications and change orders. Said
work is recommended for acquisition by the City for connection to
and inclusion in the existing Ci[y of Bakersfield infrastructure
system.

BILL OF SALE
TENNECO REALTY DEVELOPMENT CORPORATION, a Delaware Cor-
poration, herein called "TENNECO", for valuable consideration~
receipt of which is hereby acknowledged, does hereby bargain and
sell and convey to the CITY'OF BAKERSFIELD, a municipal corpora-
tion, County of Kern, State of California, herein called "CITY",
that pursuant to those certain proceedings known as City of
Bakersfield Assessment District No. 87-2 and Agreement No. 87-104
between CITY and TENNECO dated May 6, 1987, all of the right,
title and interest of said TENNECO in and to those public improve-
ments set forth in said Agreement No. 87-104.
TO HAVE AND TO HOLD all and singular said goods, chat-
tels, property, and rights (herein "Property") forever.
TENNECO does hereby covenant that it is the lawful
owner of said Property; that said Property is free from all encum-
brances, except taxes not delinquent; that TENNECO has the right
to sell same and it will warrant and defend same against the law-
ful claims and demands of all persons contesting said transfer.
Applicable warranty of the Property concerned herein is
given in accordance with the standards of the Department of Pub-
lic Works of the City of Bakersfield applicable thereto. Assign-
ment to CITY of warranties to TENNECO are accompanied by appropri-
ate written evidence of acknowledgments and consents of the
affected warrantors.
