The Wayside Wet Spray Park opened on Monday, August 16th with an extremely positive reaction from the community! We have had very high usage, with many people curious to try it out. If the initial popularity is any indication, the spray park is going to be a great attraction. Staff is monitoring daily to see when usage is at the highest demand. We may adjust the hours of operation slightly, so as not to disturb the residents who live close by. 2. SMG held a workshop on August 18th for local caters who have interest in handling events at the Convention Center. Some of the caterers have expressed concern over the 15% commission, which has been in effect for the past 16 years. There are several other policy clarifications that we are working through. The information packet that was distributed at the meeting is enclosed for'your review. 3. As an update to what was reported to you last week about the Buena Vista Lake Shrew on our 2,800 acre property, the proposed critical habitat designation was sent by the U.S. Fish and Wildlife Service to the Federal Register last Friday. It was published this week and shows a major portion of the City's property in the designation, along with four other units of land, both public and private. We have 60 days from the publication date to submit comments. There are public hearings scheduled for September 30th from 1:00 to 3:00 pm and 6:00 to 8:00 p.m. at the Doubletree Hotel. Staff will be attending those meetings and will also meet with the other affected landowners in early September. We will continue to keep you apprised as we obtain more information. 4. LAFCO will be considering our Sphere of Influence expansion request on Tuesday, August 24th at 5:00 p.m. The LAFCO Executive Director did not change his initial recommendation, despite the contract with the County and the community forums ,that have taken place. We are planning a very comprehensive presentation of our case. A one-page discussion summary on the issues is enclosed for your information. We have endorsements of our position from the Chamber of Commerce and Association of Realtors; copies are enclosed. Honorable Mayor and City Council August 20, 2004 Page 2 6. KernCOG has forwarded the enclosed correspondence as the final status report on the CalTrans Rosedale Highway rehabilitation project. 7. This week was my 12th anniversary as the City manager here. 8. Per a Council request, a status report on our proposed plan to incorporate the Vision 2020 image campaign material into the City's website is enclosed. INDEPENDENT CONTRACTOR'S AGREEMENT FOR OUTSIDE CATERING SERVICES THIS AGREEMENT is made and entered into on , by and between SMG, a Pennsylvania general partnership authorized to do business in the State of California ("SMG" herein), and authorized to act as the agent for the CITY OF BAKERSFIELD, a municipal corporation and charter city, ("CITY" herein) and ("CATERER" herein). RECITALS WHEREAS, CATERER represents that CATERER is experienced, well qualified and a specialist in the field of .; and WHEREAS, the CITY dOes not have expertise currently on staff to cater events; and WHEREAS, CITY wishes to allow open catering at the Bakersfield Convention Center. NOW, THEREFORE, incorporating the foregoing recitals herein, SMG, CITY and CATERER mutually agree as follows: 1. AGENT. SMG shall act as CITY's agent. ~ 2. SCOPE OF WORK. The scope of work is described as: supplying catered food service in the Bakersfield Convention Center, 1001 Truxtun Avenue, Bakersfield', California, for the following named customer: in accordance with the terms and conditions, set forth herein and in accordance with the policies of the Bakersfield Convention Center. The use of the Bakersfield Convention Center shall be from to . The area of use shall be CATERER is prohibited from selling or serving alcohol. 3. COMPENSATION. SMG_l .doc - July 20, 2004 -- Page 1 of 6 Pages -- 3.1. Deposit. CATERER shall pay SMG Dollars ($ ) as a deposit at the time of the execution of this Agreement. The deposit shall equal percent ( %) of the total bill. Such deposits shall be made by certified check and will be non-interest bearing. CATERER further agrees to make additional deposits.with SMG on written notice by SMG of such sums as SMG believes necessary. No refunds shall be made for event cancellation. 3.2. Final Payment. Final payment to SMG shall be made in accordance with Convention Center Licensee no later than the conclusion of the event outlined during the use period of the Convention Center. 3.3. Concessions Sales. CATERER understands that Aramark has exclusivity on all concessions sales. 3.4. Late Payments. Late payments shall accrue interest at the rate of one and one-half percent (1.5%) per month (or, if lower, the maximum legal rate) on all payments not made within twenty-four (24) hours after the conclusion of the event. 4. USE OF SMG EQUIPMENT. SMG has certain catering equipment for rent. In addition to catering percentages paid to SMG, CATERER agrees to pay SMG prevailing rental rates on any equipment used. CATERER shall be responsible for any and all costs of repairing such equipment if damaged, lost or stolen. 5. KITCHEN AREA. SMG shall make available to CATERER certain kitchen space selected by SMG. Such space will be available during the facility use period specified above. CATERER shall be responsible for any and all costs of repairing the area of use if damaged. 6. TRASH REMOVAL. CATERER shall completely and thoroughly clean all areas used by CATERER or CATERER's customer and properly dispose of all trash by placing into trash containers provided by SMG. 7. AREA OF USE - DAMAGE. CATERER shall be responsible for any and all damage resulting from CATERER's use of the Convention Center including damage caused by CATERER's customers. CATERER shall pay, upon demand by SMG, all costs of repair resulting from CATERER's customer's use of the Convention Center. All repair shall be documented by written invoice. 8. KEY PERSONNEL. CATERER shall name all key personnel and contact personnel tobe assigned to the work set forth herein. All key personnel shall be properly licensed. 9. NO WAIVER OF DEFAULT. The failure of any party to enforce against another party any provision of this Agreement shall not constitute a waiver of that party's right to enforce such a provision at a later time, and shall not serve to vary the terms of this Agreement. CATERER shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Agreement any licenses, permits and approvals which are legally required for CATERER to practice its profession. If a corporation, at least one officer or key employee shall hold the required licenses. If a partnership, at least one partner shall hold the required licensees.. 11. MERGER AND MODIFICATION. This contract sets forth the entire Agreement between the parties and supersedes all other oral or written representations. This contract may be modified only in a writing approved by the parties. 12. TERMINATION. This Agreement may be terminated by any party upon ten (10) days written notice, served by mail or personal service, to all other parties. 13. COMPLIANCE WITH ALL LAWS. CATERER shall, at CATERER's sole cost, comply with all of the requirements of Municipal, State, and Federal authorities now in force, or which may hereafter be in force, pertaining to this Agreement, and shall faithfully observe in all activities relating to or growing out of this Agreement all Municipal ordinances and State and Federal statutes, rules or regulations, and permitting requirements now in force or which may hereafter be in force including, without limitation, obtaining a City of Bakersfield business tax certificate (Bakersfield Municipal Code Chapter 5.02) where required. 14. . INDEPENDENT CONTRACTOR. This Agreement calls for the performance of the services of CATERER as an independent contractor. CATERER is not an agent or employee of the CITY for any purpose and is not entitled to any of the benefits provided by CITY or SMG to its employees. This Agreement shall not be construed as forming a partnership or any other association with CATERER other than that of an independent contractor. 15. DIRECTION. CATERER retains the right to control or direct the manner in which the services described herein are performed. 16. EQUIPMENT. CATERER will supply all equipment, tools, materials and supplies necessary to perform the services under this Agreement. 17. INSURANCE. In addition to any other insurance or bond required under this Agreement, the CATERER shall procure and maintain for the duration of this Agreement the following types and limits of insurance ("basic insurance requirements") herein: 17.1. Automobile liability insurance, providing coverage on an occurrence basis for bodily injury, including death, of one or more persons, property damage and personal injury, with limits of not less than One Million Dollars ($1,000,000) per occurrence; and the policy shall: 17.1.1. Broad form commercial general liability insurance, unless otherwise approved by 'the CITY's Risk Manager, providing coverage on an occurrence basis for bodily injury, including death, of one or more persons, property damage and personal injury, with limits of not less than One Million Dollars ($1,000,000) per occurrence; and the policy shall: 17.2.1. Provide contractual liability coverage for the terms of this Agreement. 17.2.2. Provide products and completed operations coverage. 17.2.3. Contain an additional insured endorsement in favor of the City, its mayor, council, officers, agents, employees and volunteers. 17.3. Workers' compensation insurance with statutory limits and employer's 'liability insurance with limits of not less than One Million Dollars ($1,000,000) per occurrence; and the policy shall contain a waiver of subrogation in favor of SMG and CITY, its mayor, council, officers, agents, employees and volunteers. 17.4. All policies required of the CATERER shall be primary insurance as to the SMG or CITY, its mayor, council, officers, agents, employees, or designated volunteers and any insurance or self-insurance maintained by SMG or CITY, its mayor, coUncil, officers, agents, employees, and designated volunteers shall be excess of the CATERER's insurance and shall not contribute with it. 17.5. Except for.workers' compensation, insurance is to be placed with insurers with a Bests' rating as approved by CITY's Risk Manager, but in no event less than ^:V. Any deductibles, self-insured retentions or insurance in lesser amounts, or lack of certain types of insurance otherwise required by this Agreement, or insurance rated below Bests' ^:V, must be declared prior to execution of this Agreement and approved by the CITY in writing. t7.6. The insurance required hereunder shall be maintained until all work required to be performed by this Agreement is satisfactorily completed. 17.7. The CATERER shall furnish the SMG with a certificate of insurance and required endorsements evidencing the insurance required. SMG may withdraw its offer of contract or cancel this contract if certificates of insurance and endorsements required have not been provided prior to the execution of this Agreement. 17.8. It is further understood and agreed by the CATERER that its liability to SMG and the CITY shall not in any way be limited to or affected by the amount of insurance obtained and carried by the CATERER in connection with this Agreement. Unless otherwise approved bythe CITY, if any part of the work under this Agreement is subcontracted, the "basic insurance requirements" set forth above shall be 'provided by, or on behalf of, all subcontractors even if the CITY has approved lesser insurance requirements for CATERER. 18. INDEMNITY. CATERER shall indemnify, defend, and hold harmless SMG and CITY, its officers, agents and employees against any and all liability, claims, actions, causes of action or demands whatsoever against them, or any of them, before administrative or judicial tribunals of any kind whatsoever, arising out of, connected with, or caused by CATERER, CATERER's employees, agents, independent contractors, companies, or subcontractors in the performance of, or in any way arising from, the terms and provisions of this Agreement whether or not caused in part by a party indemnified hereunder, except for SMG or CITY's sole active negligence or willful misconduct. 19. ATTORNEY'S FEES. In any action arising from or related to the terms of this Agreement, the prevailing party shall be entitled to recover its attorney's fees and court costs and other nonreimbursable litigation expenses, such as expert witness fees and investigation expenses, whether or not such action proceeds to judgment. 20. EXECUTION. This Agreement is effective upon execution. It is the product of negotiation and all parties are equally responsible for authorship of this Agreement. Section 1654 of the California Civil Code shall not apply to the interpretation of this Agreement. 21. NOTICES. All notices relative to this Agreement shall be given in writing and shall be personally served or sent by certified or registered mail and be effective upon actual personal service or depositing in the United Stateslmail. GOVERNING LAW. The laws of the State of California will govern the validity of this Agreement, its interpretation and performance. Any such assignment will be subject to such terms and conditions as SMG may choose to impose. 25. BINDING EFFECT. The rights and obligations of this Agreement shall inure to the benefit of, and be binding upon, the parties to the contract and their heirs, administrators, executors, personal representatives, successors and assigns. 26. ACCOUNTING RECORDS. CATERER shall maintain accurate accounting records and other written documentation pertaining to all fees, invoices, renumerations or funds collected in performance of this Agreement. Such records and documentation shall be kept at CATERER's office during the term of this Agreement, and for a period of one (1) year from the date services are provided to customer, and said records shall be made available to SMG or CITY representatives upon request at any time during regular business hours. 27. CORPORATE AUTHORITY. Each individual signing this Agreement on behalf of entities represent and warrant that they are, respectively, duly authorized to sign. on behalf of the entities and to bind the entities fully to each and all of the obligations set forth in this Agreement. 28. TAX NUMBERS. CATERER's Federal Tax ID Number CATERER is a corporation? Yes No (Please check one.) 29. NON-INTEREST. No officer or employee of the CITY shall hold any interest in this Agreement (California Government Code section 1090). Yes. Clients of the BCC can contract with any caterer of their choice for food and non-alcoholic beverages for a sit down or buffet style service. Aramark Entertainment has exclusivity for all concession and alcohol service in the Convention Center. Who do I call to book a catered event at the BCC? The Greater Bakersfield Convention and Visitors Bureau (GBCVB) is the responsible party for booking the facility more than twelve months out. SMG in turn is responsible for all bookings within 12 months of event date. On occasion with the permission of the GBCVB, SMG has and will continue to aggressively book the facility inside or outside the twelve month period. For example, SMG has held dates and booked traveling touring shows such as David Copperfield, _ Riverdance, and Annie. If you as an open caterer have a client interested in renting the Convention Center, please call us. Our ultimate goal is to book each and every day of the calendar year. Your leads are very important to us. Is there a full service kitchen in the BCC? Unfortunately not. When the BCC was built in 1962, a full service kitchen was not part of the original design. However, various companies have successfully catered both small and large events for the past 42 years. Is my company required to sign a Catering Contract with the BCC? Yes. Attached is a sample "Independent ContraCtor's Agreement for Outside Catering Services". Will the BCC continue to receive a fifteen percent {15%) commission on catered events? Yes. Talking Points 1. What is the Local Agency Formation Commission, or LAFCO? LAFCO is an *independent .regulatory cOmmission created by the California Legislature to control the ,boundaries of cities and most special .districts., 2. What is a Sphere of Influence? A sPheCe of influence designates a city's probably future 'physical .boundary arid service area~ it's the territory that a city wi;l annex in the future. It'S*also the area where the local government will build facilities and deliver-serVices sometime in the. future. A sphere of influence is often ,bigger than a local government's current jurisdiction. Annexation .cannot occur unless an area .is-within its Sphere of Influence. 3. How.does a ~City change -its Sphere of :Influence? City staff.prepareS the necessary environmental documents and discusses the new boundaries with County representatives to ensure that development' within the boundary promotes the logical and orderly development. If-an .agreement with the County is reached, it is sent to .. LAFCO, and they are required .to give the agreement great weight and adOpt the new Sphere. 4. ' What is the basis for the City of-Bakersfield's request for an ex. pansion of' our Sphere of Influence? We believe that all properties that petitioned to be within, our Sphere and which are uncontested should *have ~their wishes honored. These include five areas: one in the northwest (Area 4), two in the west (Areas 5 and 6), one in the southWest (Area 7), and one in the .northeast (Area 8), The recommendation of the LAFCO Executive Director is to take approximately 1,000 acres from the City's current Sphere of Influence, which has been ours since as long ago as 1969 and 1989. It is part of the Bakersfield/Kern County.joint Metropolitan Planning area where we have common zoning, have adopted the same roadway plans, and have jointly planned with the County for many years. The LAFCO director,proposes to give it to Shafter; which, in their municipal serVices study, has a different plan than the City and County have adopted for Highway 58 and has .never been involved in joint planning efforts, zoning, etc within the metropolitan planning area. There are three areas.in the northwest (Areas 1, 2, and 3), separate from those listed above that are located just above our current sphere line. Those are in the areas jointly claimed by Bakersfield and Shafter. Shafter's plans threaten the likelihood of extending Highway 58, have serious water rights problems, and represent leapfrog development by jumping from the developed part of 'Shafter - six miles across agricultural land. We believe a delayinincluding the area in any Sphere is the appropriate course of action until resolution can be brought to those issues. Bakersfield has been the object of years of illOgical, restrictive, and discriminatory constraints imposed on our Sphere by the Executive Director.of LAFCO. Our Sphere, properly, should be at .the Joint City/County Planning area boundary, and it should include an area in the northeast which has been proposed for an exciting new development by Pulte/Del Webb. Bakersfield's request is in line with LAFCO's guiding principles, in that it promotes logical formation and determination of boundaries, discourages sprawl, preserves open space and prime agricultural land, and is best suited to provide the necessary services and housing, as we have the financial resources, service capability, governmental and administrative structures necessary to serve the proposed territory. After careful review, our Association. has the following points of view: , We support Bakersfield's S.O..I request on tmcontested areas 4 through 8, including Bakersfield's 1997 proposal, which contains Pulte and Dei Webb® proposed developments. We believe this is a reasonable request that exemplifies sound planning and property fights ~or the area. · Failure of neighboring cities to negotiate and compromise differences is disruptive and does not serve the interests of property owners. To enhance a spirit of goodwill within the Kern County commun.ity, we enco~age negotiation and compromise between the cities of Bakersfield and Shatter on areas 1 tkrough 3, except the area currently in Bakersfield's S.O.I. · Adequate services such as water, sewer, police, and. fire protection, schools and public works are vital and must be available for tlae development in any commtmity. Shafter's S.O.I. request has a different alignment for the extension of Highway 58 to Interstate 5 than the alignment jointly adopted by Bakersfield and Kern County in Alternate 15. Any conflict between Bakersfield and Shat'ler on the alignment will disrupt transportation planning and possibly jeopardize funding by State and Federal Government. · The area (1,000 plus acres north of 7Ih Standard Road) that has ~been in Bakersfield's sphere ,as far back as 1969 should not be taken by LAFCO action. Bakersfield and Kern County have worked together in their planning efforts of this area for 20 years. · City planning departments need to maintain a business-friendly environment for those who apply to develop in the eventual annexed areas. We are forwarding final information on key points related to the status, progress and the completion of the project. The Caltrans Resident Engineer assigned to this project has updated staff on the project status. General Project Description: This project is funded in the State Highway Operations and Protection Program, which is the highway maintenance program for Caltrans. The project limits are from Van Buren Place to Camino Del Rio, to rehabilitate the roadway, Project components include: Traffic Signal at Patton Way; guardrail replacement; pavement replacement from Van Buren Place to Camino Del Rio; striping and pavement markers; raised median work and some traffic signal and lighting modifications. As of Tuesday, August 10, 2004, Caltrans staff provided the following update on information regarding the status of this project; the project is listed as 100% complete. 1. Mid September 2003 - Asphalt concretepavement for left turn lanes: this work is completed. 2. October 2003 -~ Asphalt Concrete paving for through lanes: This work is completed. 3. July 2004 - Striping and pavement markers: this work was completed July 10, 2004. 4. May 2004 - Guardrail work: this work was completed July 1, 2004. 5. 'May 2004 - Asphalt concrete work in the raised medians: this work was completed June 15, 2004. 6. June 2004 - Signalization and lighting work: this work was completed June 10, 2004. 7. July i5, 2004 -The entire Project was completed by July 15, 2004. We plan to incorporate the image campaign into our website by creating a specific area on our website that will be devoted to the subject, using the marketing package and photos as requested by Vision 2020. I will be participating in the Vision 2020 image/campaign focus group, so as to keep informed on the progress of the marketing plan and to provide the City's input on promoting a positive image for the community. In addition, EDCD staff is in the process of creating a "Bakersfield Business" webpage and will include some of those materials in their promotional information.
