SUBJECT: ASSESSMENT DISTRICT NO. 03-3 PAYMENT REQUEST

The City has received a written application request from the developer that the
improvements referenced on the attàchment are complete and have been accepted by the
City. Documents included contracts, change orders, paid invoices and other documentation
establishing the actual amount paid by the developer, thus establishing the Acquisition·
) Price at actual cost. In Addition, the developer has provided the City a Mèchanics lien free
endorsement as per the requirements of the Acquisition Agreement. Therefor, please find
attached the Application for Payment of improvements for Assessment District No. 03-3,
the remaining portion of the fees in Chamber Boulevard in the Seven Oaks West III Area
Improvements.
Wilson and Associates was retained by the City Public Works Department to review those
applications for payment from bond proceeds for this Assessment District.
Completed Items as per Exhibit "A" of the Acquisition Agreement: (See attached
request). $1,171,142.06

Dear John and Marian:
Wilson & Associates has finished our review process of the payment request for the Improvements
completed in the Seven Oaks West III Area of Assessment District No. 03-3 ("AD 03-3"), based on
Volume IV of the payment request dated September 6,2007, submitted by McIntosh & Associates
on behalf of Castle & Cooke (the "Applicant"), and the updates received through September 24,
2007 (collectively, the "Application No.3"). This letter and recommendation for payment pertain
to onlv Chamber Boulevard improvements in the Seven Oaks West III Area (described in Exhi~it
B, Table B-II-B, Items C and D ofthe Final Engineer's Report for AD 03-3). The payment request
for the White Lane improvements in the Seven Oaks West III Area (described in Exhibit B, Table
B-II-B, Item A) has been processed by Wilson & Associates (see our transmittal dated August 29,
2007). The payment request for the Allen Road improvements in the Seven Oaks West III Area
(described in Exhibit B, Table B-II-B, Item B) has been processed by Wilson & Associates (see our
transmittal dated September 11, 2007).
After reviewing said Application No.3, we have come to the below-described conclusions and
recommendations regarding this Acquisition Payment for the improvements in the Seven Oaks West
III Area of AD 03-3. Enclosed with this letter is a table entitled "Table I, Itemized Improvements
and Acquisition Costs Approved for Payment No.3 in Seven Oaks West III Area, City of Bakersfield
Assessment District No. 03-3" ("Table 1") that presents an itemized comparison of the cost of
improvements to be acquired as they were estimated and shown on said Exhibit B, Table B-II-B of
the AD 03-3 Engineer's Report (which is the acquisition amount funded by the AD 03-3
proceedings) to the itemized amount paid by the Applicant for each item of work shown in the
Application No.3 and requested for payment by the Applicant. Table I also shows in its column
entitled "Approved Payment Per This Request" the amount for each item of work we recommend
for payment to the Applicant as the AD 03-3 Acquisition Price under Payment No.3 for the Seven
Oaks West III Area. Also enclosed are: (i) a copy of the Applicant's "Application and Certificate
for Payment" form, (ii) a copy of Ticor Title "Mechanic's Lien Guarantee," (iii) copies of the
Applicant's Notices of Completion for all AD 03-3 funded improvements in Tract No. 6087 Phases
Band D, Tract No. 6199, and Tract No. 6223 (note: all of those notices were recorded from 2003
to January 2007), and (iv) copies of City-issued Notices of Completion for the AD 03-3 funded
improvements in Tract No. 6087 Phases B and D, Tract No. 6199, and Tract No. 6223 Units 1
through 7.

The total Acquisition Price recommended for payment to the Applicant for acquisition of all of the
completed AD 03-3 Seven Oaks West III Area Improvements per Application No.3 is
$1,171,142.06, all as itemized on the enclosed Table 1 and summarized below. The following is a

As also described in the notes on page 3 of Table I, the above-summarized amounts are based on
the following findings:
1. Items labeled "1" in Table I "Notes" column are the items funded in the AD 03-3 Final
Engineer's Report for which no payment is requested at this time and for which no payment
will be requested at a later date, as confirmed by McIntosh & Associates. Most of these
items were either combined with other items, or they are not necessary for completion of the

project, or they were labeled in a different manner in Application No.3 than in the Final
Engineer's Report for AD 03-3.
2. Items labeled "2" in Table I "Notes" column are described as follows: Based on the savings
in costs of some of the items of work approved in the Final Engineer's Report, there are
several "new" items of work approved for payment at this time. All ofthese additional items
of work are items in the same categories of work as the originally approved items or are
items constructed instead ofthe originally approved items due to changes in the final design.
3. The total amount of "savings" in the Chamber Boulevard scope of improvements (both
Items C and D in Table B-II-B) is $250,531.94. Together with the total amount of
"savings" in the Allen Road scope of improvements of $23,495.79 (processed on
September 11, 2007), it amounts to a grand total of savings of $274,027.73 in the Seven
Oaks West III Area of AD 03-3. Once this Payment No.3 is processed, all of the Seven
Oaks West III Area improvements eligiblefor payment pursuant to the Final Engineer's
Report for AD 03-3 will have been acquired by the City and paid to the Applicant.
Therefore. the above-referenced $274.027. 73 is now eligible for use in covering all of the
$133.801.83 "overrun" in the costs of the White Lane scope of improvements (processed
on August 29. 2007). as it will be described in a separate transmittal.
Based on the findings described above and in accordance with the Application No.3, it is the
recommendation of our analysis that $1,171,142.06 be paid and that a check for that amount be made
payable to Castle & Cooke California, Inc., as a payment pursuant to this Payment No.3 request for
the completed improvements in the Seven Oaks West III Area of AD 03-3. As suggested by the
Applicant, in order to properly direct the payment, please send the check to:
