The City has received a written application request from the developer that the
improvements referenced on the attachment are complete and have been accepted by the
City. Documents included contracts, change orders, paid invoices and other documentation
establishing the actual amount paid by the developer, thus establishing the Acquisition
Price at actual cost. In Addition, the developer has provided the City a Mechanics lien free
endorsement as per the requirements of the Acquisition Agreement. Therefor, please find
attached the Application for Payment of improvements for Assessment District No. 03-2,
Buena Vista Ranch Area Acquisition Payment No. 1 Processing.
Wilson and Associates was retained by the City Public Works Department to review those
applications for payment from bond proceeds for this Assessment District.
Completed Items as per Exhibit "A" of the Acquisition Agreement: (See attached
request). $1,634,618.00

Dear John and Marian:
Wilson & Associates has finished our review process of the payment request for the Improvements
completed in the Buena Vista Ranch Area of Assessment District No. 03-2 ("AD 03-2"), based on
Volume II of the payment request dated June 19, 2007 (the "Application No.1"), submitted by
McIntosh & Associates on behalf of Centex Homes (the "Applicant"). This letter and
recommendation for payment pertain to all improvements in the Buena Vista Ranch Area
(described in Exhibit B, Table B-II-B of the Final Engineer's Report for AD 03-2).
After reviewing said Application No. I, we have come to the below-described conclusions and
recommendations regarding this Acquisition Payment for the improvements in the Buena Vista
Ranch Area of AD 03-2. Enclosed with this letter is a table entitled "Table 1, Itemized
Improvements and Acquisition Costs Approved for Payment No.1 in Buena Vista Ranch Area, City
of Bakersfield Assessment District No. 03-2" ("Table 1") that presents an itemized comparison of
the cost ofimprovements to be acquired as they were estimated and shown on said Exhibit B, Table
B-II-B of the AD 03-2 Engineer's Report (which is the acquisition amount funded by the AD 03-2
proceedings) to the itemized amount paid by the Applicant for each item of work shown in the
Application No.1 and requested for payment by the Applicant. Table 1 also shows in its column
entitled "Approved Payment Per This Request" the amount for each item of work we recommend
for payment to the Applicant as the AD 03-2 Acquisition Price µnder Payment No.1 for the Buena
Vista Ranch Area. Also enclosed are: (i) a copy ofthe Applicant's "Application and Certificate for
Payment" form, (H) a copy of Chicago Title Company "Mechanic's Lien Guarantee," (Hi) copies of
the Applicant's Notices of Completion for the relevant improvemènts in Tract No. 6104 (note: all
of those notices were recorded'in 2005 or 2006), and (iv) copies of City-issued Notices of
Completion for Tract No. 6104 Phases 1 through 7. This pavment is contingent upon the City
issuing a "Street Permit" form for the AD 03-2 improvements in Panama Lane along the frontage
of Tract No. 6104 Phase 8 (in lieu of the City-issued Notice of Completion for Tract No. 6104 Phase 8).

As also described in the notes on page 3 of Table '1, the above-summarized amounts are based on
the following findings:
1. Items labeled "1" in Table I "Notes" column are the items funded in the AD 03-2 Final
Engineer's Report for which no payment is requested at this time and for which no payment
will be requested at a later date, as confirmed by McIntosh & Associates. Most of these
items were either combined with other items, or they are not necessary for completion of the
project, or they were labeled in a different manner in Application No. I than in the Final
Engineer's Report for AD 03-2.
2. Items labeled "2" in Table I "Notes" column are described as follows: Based on the savings
in costs of some of the items of work approved in the Final Engineer's Report, there are
several "new" items of work approved for payment at this time. All of these additional items
of work are items in the same categories of work as the originally approved items or are
items constructed instead of the originally approved items due to changes in the final design.
3. Items labeled "3" in Table 1 "Notes" column are approved for payment at this time at a lesser
amount than requested by the Applicant (up to the maximum amount available for payment
of all improvements in the Buena Vista Ranch Area), or not approved for payment at this
time, since there are no more originally approved funds available in the Improvement Fund
for to the Buena Vista Ranch Area.
4. Items labeled "4" in Table 1 "Notes" column are the "Contractor Supervision and Overhead"
items that are recalculated to match 10% of the total Improvement Cost and Contingency of
the items approved for payment at this time (in the same manner as calculated in the Final
Engineer's Report for AD 03-2).
Based on the findings described above and in accordance with the Application No.1, it is the
recommendation of our analysis that $1,634,618.00 be paid (but onlv after a Street Permit
referenced above is issued), and that a check for that amount be made payable to Centex Homes
(attn: GeoffHoward, 801 S. Akers St., Visalia, CA 93277), as a payment pursuant to this Payment
No. I request for the completed improvements in the Buena Vista Ranch Area of AD 03-2.
Please call if you have any questions on the results of our analysis or the recommendations presented
herein for payment of the Acquisition Price.

SCHEDULE OF EXCLUSIONS FROM COVERAGE OF THIS GUARANTEE
1. Except to the extent that specific assurances are provided in Schedule A ofthis Guarantee, the Company assumes no liability for loss or damage by
reason of the following:
(a) Defects, liens, encumbrances, adverse claims or other matters against the title, whether or not shown by the publ~c records" .
(b) (1) Taxes or assessments of any taxing authority that levies taxes or assessments on real property; or (2) ProceedUlgs by a publtc agency which may
result in taxes or assessments, or notices of such proceedings, whether or not the matters excluded under (1) or (2) are shown by the records of the taxing
authority or by the public records.
(c) (1) Unpatented mining claims; (2) reservations or exceptions in patents or in Acts authorizing the issuance thereof; (3) water rights, claims or title to
water, whether or notthe matters excluded under (1), (2) or (3) are shown by the public records,
2, Notwithstanding any specific assurances which are provided in Schedule A of this Guarantee, the Company assumes no liability for loss or damage by
reason ofthe following:
(a) Defects, liens, encumbrances, adverse claims or other matters affecting the title to any property beyond the lines ofthe land expressly described in the
description set forth in Schedule (A) of this Guarantee, or title to streets, roads, avenues, lanes, ways or waterways to which such land abuts, or the right to
maintain therein vaults, tunnels, ramps or any structure or improvements; or any rights or easements therein, unless such property, rights or easements are
expressly and specifically set forth in said description.
(b) Defects, liens, encumbrances, adverse claims or other matters, whether or not shown by the public records; (1) which are created, suffered, assumed or
agreed to by one or more of the Assureds; (2) which result in no loss to the Assured; or (3) which do not result in the invalidity or potential invalidity of any
judicial or non-judicial proceeding which is within the scope and purpose of the assurances provided.
(c) The identity of any party shown or referred to in Schedule A
(d) The validity, legal effect or priority of any matter shown or referred to in this Guarantee,
1. Definition oCTenns.
The following tenns when used in the Guarantee mean:
(a) the 'Assured': the party or parties named as the Assured
in this Guarantee. or on a supplemental writing executed by the
Company,
(b) 'land': the land described or referred to in Schedule A
and improvements affIXed therelo which by law constitute real
properly, The lenn 'land' does nol include any properly beyond
the lines oC the area described or referred to in Schedule A. nor
any right, litle, interest, estate or easement in abutting slrccts,
roads, avenues, alleys, lanes, ways or waterways.
(c) 'mortgage': mOJlga&e, deed of trust, trust deed,orother

(d) 'public records': rerords established understalestalules

2. Notice oCClaim to be Given by Assured Claimant
An Assured shall notiIY the Company promptly in writing in
case knowledge shall come to an Assured hereunder of any claim
of title or inlerest which is adverse to the title to the estale or
inIetest, as stated herein, and which might cause loss or damage
for which the Company may be liable byvirtue of this Guaranlee.
If prompt noticc shall not be giVlln to the Company. then all
liability of the Company shalltenninate with regard to the mailer
or matters for which prompt notice is required; provided.
however, that f.ilure to nolifÿ the Company .hall in no case
prejudice the rights of any Assured under this Guarantee unless
the Company shall be prejudiced by the failure and then only to
the extent atthe ¡nejudicc,
3. No Duty to Defend or Prosecute
The Company shall have no duty to defend or prosecute any
action or proceeding to which the Assured is a party,
notwithstanding the nature of any aUegation in such action or
proceeding,
4. Company's OpUon to DeCend or Prosecute Actions;
Duty oC Assured Claimant to Ceoperate.
Even though the cOmpany has no duty to defend or
prosecute as set forth inParagraph 3 above:
(0) The Company shall have the right, at its sole option and
cost, to institute and prosecute any action or proceed~ inlapose
a defense. as limited in (b), or to do any other act which in its
opinion may be neceasa¡y or desirable to establish the title to the
estate or interest as stated herein, or to establish the lien rights oC
the Assurcd, or to lI\lV8Jlt or reduce loss or damage to' the
Assured. The Company may lake any appropriate action under
the tenns oC this Gualæltee. whether or not it shall be liable
hereunder, and shall nO! thereby concede liability or waive any
provision at this Guarantee, If the Company shall exercise its
rights under this paragmph, it shall do so diligently,
(b) If the Company elects toexcrcise its options as stated in
Parag¡aph 4(a) the Company shall have the right to select c:oonsel
oC its choice (subjeclto the right oC such Assured to object for
reasonable cause) to represent the Assured and shall not be liable

Company pay any Cees. costs or expenses incwred by an Assured
in the deCense of those causes of action which allege matters not
covered by this Guill'Olltee.
(c) Whenever the Company shall have brought an aclion or
int8lpOS8d a deCense as penniUed by the provisions oC this
Guarantee, the Company may lIlISue any litigation to final
detennination by a court oC compelenl jurisdiction and expressly
reserves the right, in its sole discretion, to appeal from an adverse
judgment or order.
(d) In all cases where this Guarantee permitstheCanpanyIo
prosecute or provide for the defense oCany action or proceeding.
an Assured shall secure to the Company the right to so prosecute
or provide Cor the defense oC any action or proceeding. and all
appeals therein, and permit the Company to use, al its option, the
name oC such Assured for this l\II'JlOS8. When_ requested by
the Company. an Assured, at the Company's expense, shall give
the Company all reasonable aid in any action or proceeding.

the action or Jawfùlact which in the opinion oClbe Company may
be necessa¡y or desirable to establish the title to the estate or
interest as stated herein, or to establish the lien rights of the

obligations to the Assured WIder the Guarantee shall terminate,

In addition to and after the notices required under Section 2
at these Con4iUons and Stipulations have been provided to the
Company, a proof of loss or damage signed and sworn to by the
Assured shall be ñunished to the Company within ninety (90)
days after the Assured shall ascertain the facts giving rise to the
loss or damage, The proof of loss or damage shall describe the
mailers covered by this Guarantee which constitute the basis of
loss or damage and shall state, to the extent possible, the basis at
calculatin¡¡ the amount oCthe loss or damage, If the Company is
prejudiced by the failure oC the Assured to provide the rec¡uired
proof ofloss or damage, the Company's obligation to suclt8SSURXI
underthe Guarantee shalltenninate. InadditiOll,t!teAssuredmay
reasonably be required to submit to examination under oath by
any authorized representative atthe Company and shall produce
for ex.amination, inspection and copying. at such reasonabletimcs
and places as may be designated by any authorized representatiw
of the Company, all records. books, ledg8lS. checks,
COrrespondence and memoranda, wltethcrbearing a date befcxeor
after Dale of Guarantee. which reasonably pertain to the loss or
damage. Further, ifrequested by any authorized representative at
the Company, the Assured shall grant its permission, in writing.
for any authorized representative of the Company to examine,
inspect and copy all records, books. ledgers, checks,
COrrespondence and memoranda in the custody or control oC a
lhinI party, which reasonably pertain to the loss or damage. All
infonnation designated as confidential by the Assured provided to
the Company punuantto this Section shall not be disclosed to
others unless, in the reasonable judgment of the Company, it is
neceswy in the administration of the claim Failure oC the
Assured to submit for examination under oath, produce other
reasonably requested infonnalion or grant pennission to secure
reasonably necessa¡y infonnation from third parties as required in
the above paragraph, unless prohibited by law or governmental
regulation, shalltenninate any liability of the Company underlhis
Guarantee to the Assured for thet claim,
6. OpUons to Pay or Otherwise Settle Claims:
Termination oCLlability.
In case oC a claim under this Guarantee, the Company shall
have the Collowing additional oplions:
(a) To Pay or Tender Payment atthe Amount ofLiability or
to Purchase the Indebtedness.
The Company shall have the option to pay or settle or
compromise for or in the name of the Assured any claim which
could result in loss to the Assured within the coverage oC this
Guarantee, or to pay the full amount oCthis Guarantee or, if this
Guarantee is issued for the benefit of a holder at 0 mortgage or a
lienholder, the Company shall have the option to purchase the
indebtedness secured bysaid mortgage or said lien Corthe 8IIIOUIlt
owing thereon, together with any costs, reasonable attorneys'fees
and expenses incwred by the Assured claimant which Were
authorized by the Company up to the time of purchase,
Such purchase, ¡iayment or tender of payment at the full
amount of the Guarantee shall terminate all liability oC the
Company hereUllder, In the event after notice at claim has been
given to the Company by the Assured the Company offers to
purchase said indebtedness. the ownerofsuch indebtedness shall
transfer and assign said indebtedness. together with any collaletal
security, to the Company upon payment atthe purchase price,
Upon the exeroise by the Compauy of the option provided
for in Paragraph (a) the CompanY's obligation to the Assured
WJderthis Guarantee for the claimed loss or damage. otherthanto
make the paymenl required in that paragmph, shalltenninote,
including any obligation to continue the defense orproseallÎmat
any litigation for which the Company has exercised its options
under Parag¡aph 4. and the Guarantee shall be surrendered to the
Company for cancellation.
(b) To Pay orOthcrwise Settle With Parties Other Than the
Assured or With the Assured Claimanl
To payor otherwise settle with ether parties for or in the
name of an Assured claimant any claim assured against Wlderlhis
Guarantee, together with any costs. attomeys' Cees and expenses
incurred by the Assured claimant which were authorized by the
Company up to the time of payment and whicb the Company is
obligated to pay,
Upon the exercise by the Compauy of the option provided
for in Paragraph (b) the Company's obligation to the Assured
under this Guarantee for the claimed loss or damaøe, otherthanto
make the paymenl required in that parapph, shall terminate,
including any obligation to continue the defense orprosecutjon of
any liliaation for which the Company has eJœrcised its options
under Para¡¡raph 4,
7. Determination and ElltentoCLlablllty.
This Guarantee is a contract at indemnity against actUaJ
monetary loss or damage sustained or inClllTed by the Assured
claimant who has suffered loss or damage by reason oC reliance
upon the assurances set forth in this Guarantee and only to the
Mechanic's Lien Guarantee

extent herein described, and subject to the Exclusions From
Coverage of This Guarantee.
The liability. of the Company under this Guarantee to the
Assured shall not exceed the least of:
(a) the amowitofliability staled in Schedule A or in Part 2;
(b) the amount of the unpaid principal indebtedness secured
by the mortgage of an Asoured mortgasee, as limited or provided
under Section 6 of these Conditions and Stipulations or as
redùced under Section 9 of these Conditions and Stipulations, at
the time the loss or damage assured agaÙ1St by this Guarantee
occurs, together with interest thereon; or
(c) the difference between the value of the estale or interest
covered hereby as stated herein and the value of the estate or
interest subject to any defell~ lien or encwnbrance assuredagainst
by this Guarantee,
8. Limitation ofUability.
(a) If the Company establishes the tille, or removes the
alleged defect, lien or encumbrance, or cures any other matter
assured against by this Guarantee in a reasonably diligent manner
by any method, including liligation and the complelion of any
appeals therefrom, it shall have fully peñonned its obli/Btions
with respect to that matter and shall nol be liable for any loss or
damage caused thereby,
(b)In the event of any litigation by the Company orwiththe
Company's consen~ the Company shall have no liability for loss
Or damage until th«e has been a final determination by a court of
competent jurisdiction, and disposition of all appeals therefrom,
adverse to the title. as slated herein, '
(c) The Company shall not be liable for loss or damage to
any Assured for liability voluntarily assumed by the Assured in
seltIing any claim or suit without the prior written consent of the
Company.
9. Reduction ofUabi1/ty or Termination ofUabllity.
All payments under this Guarantee. except payments made
for costs, attomeys' fClS and expenses pursuant to Paragraph 4
shall reduce the amount of liability pro tanto.
10. Payment of Los..
)
(a) No payment shall be made without producing this
Guarantee for endorsement orthe payment unless the Guaranlee
has been lost or deslroyed, in whillh case proof of loss or
destruction shall be fiunisbed to the satisfaction of the Company.
(b) When liability and the extent of loss or damage has been
deflrlÌtely filled in accordance with these Conditions and
Stipulations, the loss or damage shall be payable within tbirty(30)
days thereafter,
11. Subregation Upon Payment or Settlement.
Whenever the Company shall have settled and paid a claim
under this Guarantee. all right of subrogation shall vest in the
Company unaffeeted by any act of the Assured claimant
The Company shall be subrogated to and be entitled to all
rights and remedies which the Assured would have had against
any pen;on or property in respect to the claim had this Guarantee
not been issued, If requested by the Company, the Assured shall
lransfer to the Company all rights and remedies against any pmon
or property necess8ly in order to perfellt this right of subrogation,
The Assured shall permit the Company to sue, compromise or
settle in the name of the Assured and to use the name of the
Assured in any transaclion or litigation involving these rights or
remedies. '
If a payment on account of a claim does not fully cover the
loss of the Assured the Company shall be subrogated to all rights
and remedies of the Assured after' the AssUlf:d shall have
recovered ¡Is principal, interes~ and costs of collection
12. Arbitntlon.
Unless prohibited by applicable law. either the Company or
the Assured may demand arbitration pUlSU8llt to the Title
Insurance Arbitration Rules of the American Arbitration
Association
Arbitrable mattas may include, but are IlOtlimited to, any
controversy or claim between the Company and the Assured
arising out of or relating to this GUðI8rlIee. any service of the
Company in CMl\elltion with its issuance or the breach of a
Guarantee provision or other obligation, All arbitrable mailers
when the Amount of Liability is $1,000,000 or less shall be
arbitrated at the option of either the Company or the AsSUllld. All
arbitrable matters when the amount of liability is in excess of
$1,000,000 shall be arbitrated only when ag¡eed to by both the
Company and the Assured, The Rules in effect at Date of
Guarantee shall be billding upon the parties, The award may
include attorneys' fees only if the laws of the stale in which the
land is located permits a court to award attorneys' fees to a
prevailing party. Iudgment upon the award rendered by the
Arbitrator(s) may be entered in any court having jurisdiction
thereof.
The law of the situs of the land shall apply to an arbitration
under the Title InsU/8/lce Arbitration Rules.
A copy of the Rules may be obtained from the Company
upon request.
13. Uablllty Umlted to This Guarantee; Guarantee
Entire Contraet.
(a) This Guarantee together with all endorsements, if any,
attached hereto by the Company is the entire Guarantee and
contract between the Assured and the Company, In interpreting
anyprovision of this Guarantee. this Guanntee shall be canslNed
as a whole,
(b) Any claim oCloss or damage, whether or not based on
negligence, or any action a.sertingsuch claim, shall be restricted
to this Guarant.e,
(c) No amendment of or endoxsement to this Guarantee can
be made except by a writing endorsed hereon or attached hereto
signed by either the Presiden~ aVice Presiden~ the Secretary, an
Assistant Secretary, orvalidating officer or authorlzedSÏgaloty of
