The City has received a written application request from the developer that the
improvements referenced on the attachment are complete and have been accepted by the
City. Documents included contracts, change orders, paid invoices and other documentation
establishing the actual amount paid by the developer, thus establishing the Acquisition
Price at actual cost. In Addition, the developer has provided the City a Mechanics lien free
endorsement as per the requirements of the Acquisition Agreement. Therefor, please find
attached the Application for Payment of improvements for Assessment District No. 02-1,
The Avalon area improvements.
Wilson and Associates was retained by the City Public Works Department to review those
applications for payment from bond proceeds for this Assessment District.
Completed Items as per Exhibit "A" of the Acquisition Agreement: (See attached
request). $708,555.80

Processing
Dear John and Marian:
Wilson & Associates has finished our review process of the payment request for the improvements
completed in the Avalon Area of Assessment District No. 02-1 ("AD 02-1"), based on the payment
request submitted by SmithTech-USA, Inc., on behalf of Bakersfield Avalon, LLC (the
"Applicant") dated January 8,2004, and revised/updated payment requests dated January 15, 2004,
and January 22, 2004 (collectively the "Application"), This letter and recommendation for
payment pertain to all improvements in the Avalon Area of AD 02-1.
After reviewing said Application, we have come to the below-described conclusions and
recommendations regarding this Acquisition Payment for the improvements in the Avalon Area.
Enclosed with this letter is a table entitled "Table 1, Itemized Improvements and Acquisition Costs
Approved for Payment No.1 in Avalon Area, City of Bakersfield Assessment District No. 02-1"
("Table I") that presents an itemized comparison of the cost of improvements to be acquired as
they were estimated and shown on Exhibit B, Table B-II-B of the AD 02-1 Final Engineer's
Report (which is the acquisition amount funded by the AD 02-1 proceedings), the itemized amount
paid by the Applicant for each item of work shown in the Application and requested for payment
by the Applicant, and in the Table 1 column entitled "Approved Payment Per This Request" the
amount for each item of work we recommend for payment to the Applicant as the AD 02-1
Acquisition Price under Payment No. I. Also enclosed are: a copy of the Applicant's "Application
and Certificate for Payment" form, and a copy of the Applicant's spreadsheet entitled "Bakersfield
Avalon, LLC, Assessment District 02-1 Tract 5968 Billables" showing a detailed breakdown of
each improvement and incidental item total presented in the Application and Certificate for
Payment. The below-described pavment is contingent upon the City's issuance of Notice of
Completion (or "Director's Acknowledgment") for Tract No. 5968 improvements funded in AD
02-1 (or finding a copy of said Notice of Completion if it has been issued already). The Avalon
Area improvements funded in AD 02-1 are located mainly in Unit One of Tract No. 5968 (north
side of Olive Drive), but storm drain sump improvements are located south of Olive Drive in Tract
No. 5968 Unit Four which was recorded recently,

The total Acquisition Price recommended for payment to the Applicant for acquisition of all of the
completed AD 02-1 Avalon Area improvements per said Application is $708,555,80, all as
itemized on the enclosed Table 1 and summarized below. The following is a recapitulation of
funds recommended for payment under this Payment No. I:

As described in the "Notes" column on page 2 of Table 1, items labeled "I" are the items for
which payment is approved at this time at a lesser amount than requested by the Applicant (up to
the maximum amount available for payment of all the AD 02-1 Avalon Area improvement items
approved in the AD 02-1 Final Engineer's Report).
Based on the findings described above, and in accordance with the Application and the
correspondence described on page one of this letter, it is the recommendation of our analysis that
$708,555.80 be paid and that a checkfor that amount be made payable to BakersfieldAvalon,
LLC, as a payment pursuant to this Payment No. 1 request (for all improvements in the Avalon
Area of AD 02-1), but onlv after confirming that a Notice of Completion (or similar Public
Works prepared document) has been issued for the improvements approved for acquisition per
the AD 02-1 Final Engineer's Report.
Please call if you have any questions on the results of our analysis or the recommendations
presented herein for payment of the Acquisition Price.
