Documents included contracts, change orders, paid invoices and other documentation establishing the actual amount paid by the developer, thus establishing the Acquisition Price at actual cost. In Addition, the developer has provided the City a Mechanics lien free endorsement as per the requirements of the Acquisition Agreement. Therefor, please find attached the Application for Payment of improvements for Assessment District No. 01-2, River Walk Area Improvements. This letter and recommendation for payment pertain to the remaining portion of the improvements in the River Walk Area (described in Items A and C in Exhibit B, Table B-II-E of the Final Engineer's Report for AD 01-2). With the amount already paid Pursuant to Payment No.1 (processed by the City of Bakersfield Public Works Department) for all of the River Walk Area improvements described in Item B of said Exhibit B, Table B-II-E (Pioneer Canal Relocation), after this Payment No.2 is finalized there will be no more AD 01-2 funds eligible for acquisition in the River Walk Area of AD 01-2. ) After reviewing said Application No.2, we have come to the below-described conclusions and recommendations regarding this Acquisition Payment for the improvements in the River Walk Area of AD 01-2. Enclosed with this letter is a table entitled "Table 1, Itemized Improvements and Acquisition Costs Approved for Payment No.2 in River Walk Area, City of Bakersfield Assessment District No. 01-2" ("Table I") that presents an itemized comparison of the cost of improvements to be acquired as they were estimated and shown on said Exhibit B, Table B-II-E of the AD 01-2 Engineer's Report (which is the acquisition amount funded by the AD 01-2 proceedings) to the itemized amount paid by the Applicant for each item of work shown in the Application No.2 and requested for payment by the Applicant. Table I also shows in its column entitled "Approved Payment Per This Request" the amount for each item of work we recommend for payment to the Applicant as the AD 01-2 Acquisition Price under Payment No, 2 for the River Walk Area. Also enclosed are: (i) a copy of the Applicant's "Application and Certificate for Payment" form, and (ii) a copy of Chicago Title "Mechanic's Lien Guarantee." The below-described payment is contingent upon the City's issuance of Notice(s) of Completion (or Street Permit(s)) for the referenced improvements in the River Walk Area. Items labeled "I" in Table 1 "Notes" column are the items funded in the AD 01-2 Final Engineer's Report for which no payment is requested at this time and for which no payment will be requested at a later date, as confirmed by McIntosh & Associates. Most of these items were either combined with other items, or they are not necessary for completion of the project, or they were labeled in a different manner in Application No.2 than in the Final Engineer's Report for AD 01-2. \ , , John Stinson / Marian Shaw July 14, 2006 Page Three 2. Items labeled "2" in Table I "Notes" column are described as follows: Based on the savings in costs of some of the items of work approved in the Final Engineer's Report, there are several "new" items of work approved for payment at this time. All of these additional items of work are items in the same categories of work as the originally approved items or are items constructed instead of the originally approved items due to changes in the final design. 3. Items labeled "3" in Table 1 "Notes" column are approved for payment at this time at a lesser amount than requested by the Applicant (up to the maximum amount available for payment of all improvements in the River Walk Area of AD 01-2), or not approved for payment at this time, since there are no more originally approved funds available in the Improvement Fund for the River Walk Area. Based on the findings described above and in accordance with the Application No. I, it is the recommendation of our analysis that $1,300, 733. 00 be paid (but only after Notice(s) of Completion or Street Permit(s) are filed for said improvements in the River Walk Area) and that a check for that amount be made payable to Castle & Cooke California, Inc., as a payment pursuant to this Payment No.2 request for the improvements in the River Walk Area of AD 01-2. The Contract represents the entire and integrated agreement bètween the parties hereto and supersedes prior negotiations, representations or agreements, either written or oral. ARTICLE 2 , THE WORK OF THIS CONTRACT The Contractor shall execute the entire Work described in the Contract Documents, except to the extent specifically indicated in the Contract Documents to be the responsibility of others, or as follows (SEE ATTACHMENT 1 ATTACHED HERETO) : ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLE TION 3.1 The date of commencement is the date from which the Contract Time of Paragraph 3.2 is measured, and shall be the date of this Agreement, as first written above, unless a different date is stated below or provision is made for the date to be fixed in a notice to proceed issued by the Owner. (ATTACHED HERETO) : ARTICLE 5 CONTRACT SUM 5.1 Based upon Applications for Payments submitted to the Architect or the Owner (as the Owner may elect) by the Contractor and Certificates for Payment issued by the Architect or the Owner (as the Owner may elect), the Owner shall make progress payments on account of the Contract Sum to the Contractor as provided below and elsewhere in the Contract Documents. 5.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of the month, unless specified otherwise. SEE THE GENERAL CONDITIONS (REFERENCED IN ARTICLE 9 HEREOF) ATTACHED HERETO AS ATTACHMENT 4. 5.3 Intentionally deleted. 5.4 Each Application for Payment shall be based upon the Schedule of Values submitted by the Contractor in accordance with the Contract Documents. The Schedule of Values shall allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as the Owner may require. This Schedule, unless objected to by the Owner, shall be used as a basis for reviewing the Contractor's Applications for Payment. 5.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment. 5.6 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: 5.6.1 Take that portion of the contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion of the Work in the Schedule of Values, less retention of TEN Ðercent (10%). Pending final determination of cost to the Owner of changes in the Work, amounts not in dispute may be included as provided in Subparagraph 7.3.7 of the General Conditions even though the Contract Sum has not yet been adjusted by Change Order. 5.6.2 Intentionally deleted. 5.6.3 Subtract the aggregate of previous payments made by the Owner; and 5.6.4 Subtract amounts, if any, for which the Architect has withheld or nullified a Certificate for Payment as provided in Paragraph 9.5 of the General Conditions. ARTICLE 6 FINAL PAYMENT Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the Contractor when (1) the Contract has been fully performed by the Contractor except for the Contractor's responsibility to correct nonconforming Work as provided in Subparagraph 12.2.2 of the General Conditions, to satisfy other requirements, if any, which necessarily survive final payment and to meet all other obligations set forth in the General Conditions; and (2) a 3 final Certificate for Payment has been issued by the Architect; such final payment shall be made by the Owner not more than 30 days after the issuance of the Architect's (or Owner's, as applicable) final Certificate for Payment, or as follows (AS SPECIFICALLY SET FORTH IN THE GENERAL CONDITIONS ATTACHED HERETO AS ATTACHMENT 4): ARTICLE 7 MISCELLANEOUS PROVISIONS 7.1 Where reference is made in this Agreement to a provision of the General Conditions or another Contract Document, the reference refers to that provision as amended or supplemented by other provisions of the Contract Documents. 7.2 Payments due and unpaid under the Contract shall bear interest from the date payment is due at the legal rate prevailing from time to time at the place where the Project is located. 7.3 Other provisions: AS SPECIFICALLY SET FORTH IN THE GENERAL CONDITIONS ATTACHED HERETO AS ATTACHMENT 4. Accordingly, in the event of such delay, Subcontractor agrees to pay contractor, and Contractor agrees to accept from Subcontractor, as liquidated damages for such delay, a sum equal to: (A) One half (1/2) of One Percent (1%) of the contract price multiplied by the number of days of delay as measured by the Construction Schedule; or (B) One Thousand dollars ($1,000.00), per day multiplied by the number of days of delay as measured by the Construction Schedule, whichever is greater. 5 This Agreement is entered into as of the day and year first written above and is executed in at least three original copies of which one is to be delivered to the Contractor, one to the Engineer, and the remainder to the Owner.
