SUBJECT: METROPOLITAN BAKERSFIELD HABITAT CONSERVATION PLAN
(MBHCP)
On April 18, 1991 the Planning Commission recommended approval of
the MBHCP and certification of the EIR to the Council. On
May 22, 1991 the Council referred the MBHCP, associated
Environmental Impact Report (EIR), Implementation Agreement and
Joint Powers Agreement to the Intergovernmental Relations
Committee for discussion.
Draft copies of the Implementation Agreement and Joint Powers
Agreement are attached. Following is'a brief summary of the
Implementation Agreement and Joint Powers Agreement.
Implementation Agreement:
This agreement would be entered into by the wildlife agencies,
City of Bakersfield and County of Kern. The purpose of the
agreement is to define the respective rights and obligations of
the parties and beneficiaries of the agreement with respect to
implementation of the MBHCP.
Joint Powers Agreement:
This agreement would be entered into by the city and county.. The
purpose of this agreement is to specifically define relationships
between each jurisdiction and to establish an implementation
trust group with responsibility for administering the Habitat
Conservation Plan acquisition and enhancement program strategy
throughout the 20 year Section 10(a) permit and Section 2081
agreement term.
Staff has worked with the county, wildlife agencies, the city's
consultant and the BIA to develop the implementing agreement.
Staff is recommending the Council approve the MBHCP, certify the
EIR and conceptually approve the ImplementatiOn Agreement and
Joint Powers Agreement so they can be officially transmitted to
the Kern County Board of Supervisors for their action. After
approval by both the city and countY, the documents will be
delivered to the Federal Department of the Interior and State
Fish and Game as part of the permit applications for the desired

The following revisions to the April 17th Draft of MBHCP Implementation
Agreement have been agreed to in a conference call between Jack Hardisty, Jim
Movius, Ted James, Rob Thornton, Don Lindsay, Tom Reid and Victoria Harris.
The changes reflect comments made by the Kern County Counsel. Additions to
text or text changes are redlined and deletions are stricken out.
The City and County h'ave scheduled the presentation of the
Implementation Agreement to an Intergovernmental Council on June 6th. It
would be valuable for the City and County to receive agency comments on the
Implementation Agreement prior to that prdsentation. Comments should be
submitted to Jim Movius in writing. Discussiohs of comments received can be
arranged through conference calls.
2.11 The term "Implementation Trust" shall mean that body responsible
for making preserve acquisition decisions and for administering the MBHCP.
The Implementation Trust comprises representatives of the City and the County
as Trustees. The Implementation Trust will be created through the formation
of a Joint Powers Agreement ("JPA") (see sample JPA attached, hereto as Exhibit
E). Representatives from USFWS and CDFG are to be mandatory advisors. In
addition, a member of the public will be appointed as a mandatory advisor.

3.5.2 La~downers proposing dedication of land in lieu of payment of
Mitigation Fees shall submit a petition for a dedication consistency
determination to the Implementation Trust~ The'petition shall provide a
description of the land proposed for dedication, a report prepared by a
qualified biologist on the value of the land as habitat Tot Species of
Concern, and a statement of the monetary value of the land to be claimed in

4.3.2 The CDFG, to the maximum extent practicable, shall actively
participate in meetings of the Implementation Trust, and shall insure the
availability of its staff for informal consultations and meetings with the
staffs, boards or Councils of the other parties to this Agreement to insure
the appropriate monitoring of permitted incidental take, and to insure that
the implementation of the MBHCP is consistent with, and will not render
invalid~ an~ finding u~on which the 2081 Permit is based. ~i~i:ii~~~

5.5 Habitat Enhancement.. The.Implementation Trust shall identify and
prioritize lands, other than preserve sites, which may be suitable for
improvement as enhanced lands. The Implementation Trust may enter into an
agreement with the landowner for the manQgement and improvement of potential
enhanced lands ("Cooperative Agreements"). The Implementation Trust may also
e~ter into Cooperative Agreements to protect and enhance potential preserve
land prior to acquisition. Each Cooperative Agreement shall include a
dct:ilcd plan~for the management and enhancement, as appropriate, of the
subject land consistent with the guidelines described in Section 5.6
("Enhancement Management Plan"), and shall include provisions for monitoring
and reporting.
5.7.3 Th~ Implementation Trust shall encourage efforts by others to

-. Th/s Agreement shall rem-~n /n force and effect as 'long as t/us Section 10(a)
Permit and Section 2081 Agreement are in effect or until such t/me as a majority
of the members shall agree upon the termination thereof. If this Agreement'is
terminated, all real 'and-personal property, owned by the ~ shall be
distributed to the federal, s~ate or local funding agency or party to this
Agreement that supplied the property or whose funding provided for'the
a .cqu/sition of the prope~. Should the orig/n of any real or persor~i prope, z~
be undeterminable, that prope, rty shall be disbursed to the par~ies to th/s.
Agreement in the same proportion as contributions were made by the parties. Th~s
Agreement shall, not terminate until all property has bee~ distributed in
accordance with this provision.

Shmu/d any part, term. portion or prevision of this A~t be finaiiy
decided to be in ccru~lict with any law of the Un/ted Sta~es or the State of
California, or oth~wise be unenforceable or ineffectual, the validity of the
re~ainin~ partm, terms, portions or provisions shall be deemed severable and
shall not be affected thereby, provided such rem~ portions or provisions can
be construed in substance to constitute the Agreement which t/us parties intended
to enter into in the first instance.
Th/s Agreement may be executed in counterparts, such of which sba/1 be
deemed an ortgtr~l, all of wh/ch tog~tkmr shall cmustitute one and the same
instrument.
The Agency shall imde_mnifT., defend, and save harmless the City and Coun~;.,
their elected officials, agents and emp. ioy~es, 'from and against any and ail

Prior To em~.ioying personnel, and before acquiring or uTi!izirg equixm~ent or
pr°Pert~ undsr this Agreement, The. Agency shall obtain at its sole cost and
ex~m~e, at least The foliowirz3 insurance policies which shall be kept in full
force during The entire period Of This Acjreemen~:
A. C~iv~ General Liability insurance on an occurrence policy form
in an smount of not less Than One Million Dollars ($1,000,000).
B. Worke~' Compensation insurance in accordsnce wit/x, the Californ/a
Code.
Said insurance coverage shall be obtained from commercial insurance carries
and shall provide coverage for all officers, empioyc~_~ and ag~n~s of the Agency.
In addition, the parties hereto shall be r~,~a as ~a~tional insureds, an~ sa/d
insurance shall be primary. Premiums shall be paid from Agmnc~ furzis. · Sa/d
coverage shall provide for thirt~ (SO) day no=ices prior To The effecTiv~ date of
cancellation,, and t/us Agency shall notify ail parties promptly upon receipt of
such not/ce.
Further, the Agency shall, emmpt when contracting wiUh .a
entity, reqtLire tb~e policies in all its con%Tact~ for work or services and
shall specify That the Agency be namad as additior~] insurede.
Ths failure of any party To enforce 'against anonher, a provision of th_is
Agreemen= shall not constitute a waiver of. That party's right To enforce such a

This contrac~ se~s forth ths entire Acjreem~nt bet~n the parties and
supersedes all ot/uer oral or written representations. This contract ma~ be
m~dified only in a writing ap~ by and signed by all the parties.
Agermy shall, at Agency's sole cost, comply with all of the requir-,~n~s of
Municipal, State, and Federal authorities now in force, or which may hereafter be
in force, perta/n/ng to this Agreement, and shall faithfully observe in all
activities relating to or growing out of this Agreement all MuniciPal. ordinances
and State and Federal S~a~utes, rules or regulations now in force or which may
hereafter be in force.
This Agreement is effective upon execution. It is the uroduct of
nsgotiation and therefore shall not be consL-rued against any par%7.
