1. GENERAL INFORMATION
1.1 Introduction
The City of Bakersfield wishes to retain an Executive Search Firm to recruit a new
City Manager. The current City Manager will be retiring in July, 1992 after 30
years of service to the City, including 4 years as City Manager. The City Manager
is the Chief Executive Officer for the City. A copy of the job description as well
as an organization chart is attached.
The City of Bakersfield encompasses an area of' 93 square miles and provides its
residents with a full range of municipal services. The City operates under a.
Charter, with a Council/Manager form of government. Three Civil Service Boards
oversee employment issues for Fire, Police and Miscellaneous employees; eight
bargaining units represent different employee groups.
The City is composed of the following Departments; an organization is attached:

Bakersfield has an annual budget of $73.8 million and approximately 1,085
regular full-time authorized positions.
The services of the Consultant will be retained to recruit for the City Manager
position beginning on ,1992.

2. SERVICES TO BE PROVIDED BY THE EXECUTIVE SEARCH FIRM
The Executive Search Firm will conduct a nationwide search for a new City
Manager which would include:
o dedicating an experienced recruiter to locating a replacement for the
current City Manager
o development of a candidate profile
° development of a professional brochure to be sent to candidate
sources and potential candidates
° effective advertising in key publications that will reach qualified
candidates
° preparing a video tape to interest and inform key candidates of the
requirements and environment of the position
o presenting a positive image of the.Ci.ty of Bakersfield and the City
Manager position
° conducting an extensive nationwide search attracting numerous
talented and qualified applicants
° conducting an aggressive telephone sourcing program 'to identify
· candidates for the City Manager position (not necessarily those
currently seeking employment)
· o , accepting applications/resumes
° initial screening of resumes
o designing and administering supplemental questionnaires to
remaining candidates that will provide complete background data
o conducting progress meetings with City CounCil
o preliminary interviews with applicants
o reference checking top candidates
o determining five (5) finalists to be presented to.the City Council
3. SERVICES TO BE PROVIDED BY CITY STAFF
City Staff will review and evaluate the proposals submitted and will make a final
recommendation to the City Council.
4. SCHEDULE
The City wishes to have a new City Manager no later than , 1992.
Therefore, the Executive Search Firm would need to be retained by
, 1992 in order to meet this deadline.

5. RFP INTERPRETATION AND ADDENDA
5.1 Interpretation of RFP '
All providers shall make careful examination of the requirements, specifications
and conditions expressed in the RFP and fully inform themselves as to the quality
and character of services required.

~ 5.2 Addenda
Any change in the RFP will be. made only by written addendum, duly issued to
each firm to whom the RFP was submitted. The City shall not be responsible for
any other explanations or interpretations.
Addenda issued by the City interpreting or changing any of the items in this RFP,
including all modifications thereof, shall be incorporated in the proposal. The'
provider shall sign and date the Addenda Cover Sheets and submit them with the
proposal.
6. TERMS AND CONDITIONS
6.1 Compensation
Include your compensation requirement to perform these services.
6.2 Timeline.
.A timeline must be completed showing the length of time the consultant
anticipates is necessary to complete the. search for City Manager.
6.3 Method of Conducting Search
Include your strategic plan on how your firm will conduct the search for the City
Manager for the City of Bakersfield.

7. GENERAL INSTRUCTIONS
The submission of a proposal shall be conclusive evidence that the provider has
investigated and satisfied himself as to the conditions to be encountered, the
character, quality and scope of work to be performed and the requirements of the
City.
7.1 Proposal to Remain Firm
All proposals shall remain firm for a period of at least one hundred twenty (120)
days from proposal opening date.
7.2 City of Bakersfield Statutes and Rules
The terms and conditions of the RFP and the resulting contract or activities based
upon the RFP shall be construed in accordance with the City of Bakersfield's
statutes and rules. Where State of California statutes and regulations are
referenced, they shall apply to this RFP and to the resulting contract.
7.3 Signature of Provider
The proposal and any clarifications thereto shall be signed by an officer of the
provider company or designated agent empowered to bind the firm in a contract.
The signatures of all persons signing the proposal shall be longhand.
7.4 Complete Written Proposal
Only written proposals will be accepted. No oral, facsimile, telegraph or
telephone proposals will be Considered. The completed proposal shall be without
interlineation, alteration or erasures.
8. PROPOSAL FORMAT AND CONTENTS
For ease in review and to facilitate evaluation, the-proposals submitted for this
project should be organized and presentbd in the following requested order:

8.3 (a) Contract Information
Provide a list of any contracts you may currently have or previously had with the
City of Bakersfield.
8.3 (b) Consultant Practice Information
Describe your current consulting practice and the approximate percentage of time
dedicated to various consulting services.
8.4 (a) Qualifications and Experience
Provide specific information in this section concerning your firm's capabilities and
experience as it relates to the services provided. Provide a list of other
organizations which your firm works with, and provides recruitment services for
positions such as City Manager or other high-level management positions.
Include names and ph'one numbers of references for these services provided.
8.4 (b) Samples
Provide samples of recruitment material for similar positions that your firm has
developed.
8.5 Professional Team
Include the name and location of the office where the work is to be performed.
Identify the principal consultant and What percentage of their time will be devoted
to the Bakersfield City Manager recruitment. Provide a list of personnel who are
part of your staff and the length of time employed. Attach curriculum vitaefor all
significant members of the professional staff which reflect their experience in this
type of work. Finally,' provide 'an organization chart for the professional staff
which identifies their titles.
8.6 Insurance
Provider's staff shall maintain a single limit broad from commercial general liability.
insurance policy in an amount of not less .than $1,000,000 per occurrence with
combined liability for handling hazardous~ materials, personal injury, property
damage, automobile liability and professional-liability with a reliable insurance
carrier authorized to do business in the State of California and statutory
Workmens' Compensation coverage.

8.7 Contract
Proposal shall contain a completed sample contract. See attached example
contract.
8.8 Exceptions (General)
If you cannot comply with any conditions of the scope of work to be performed,
explain what conditions cannot be complied with and the reason.
9. · SELECTION PROCESS
9.1 Solicitation Caveat
The issuance of this solicitation does not constitute an award commitment on the
part of the City; neither shall the City pay for costs incurred in the preparation of,
or submission of, proposals.
9.2 Proposal Submission

P.M., AT THE ABOVE OFFICE AND ADDRESS. PROPOSALS SUBMITTED AFTER
THE ABOVE DEADLINE WILL NOT BE ACCEPTED.
9.3 Initial Screening ,
All proposals received by the specified deadline with be reviewed by the City Staff
for content, cost, related experience and professional qualifications of the
Executive Search Firms (including length of operation/experience). After the initial
screening, the City Staff will select those firms 'deemed qualified for further
evaluation. Interviews of those selected firms will be conducted as part of the
final selection process.

9.4 Rejection of Proposals
The City reserves the right to reject any and all proposals received and to waive
any informality, technical defect or clerical error in any proposal as the interest of
the City may require. Applicants submitting proposals which do not substantially
meet the requirements will be considered noncompliant.
9.5 Notification
After evaluation of proposals and approval by the City of Bakersfield, all providers
will be notified by letter of the new provider, within days of the
final selection.
The contents of the proposal and any clarification thereto submitted by the
successful provider shall become part of the contractual obligation and
incorporated by reference into the ensuing contract.
All proposals become the property of the City of Bakersfield and will not be
returned to the provider. ~
10. SELECTION CRITERIA
The City of Bakersfield reserves the right to award this contract not necessarily to
the firm with the lowest cost, but to the firm which will provide the best overall
match to the RFP requirements.
An evaluation team comprised of representatives of the City of Bakersfield and
other team members as deemed necessary will review all proposals meeting the
criteria of this RFP.
Failure to provide requested information or unwillingness to accept terms,
conditions and other requirements of this RFP may result in rejection of the
proposal.

AGREEMENT NO.
CONSULTING AGREEMENT ~
THIS AGREEMENT, is made and entered into on ,
by and between the CITY OF BAKERSFIELD, a municipal corporation,
referred to herein as the "CITY" and . ,
referred to herein as the "CONSULTANT".
RECITALS
W~EREAS, CONSULTANT is experienced and well qualified in the
filed of executive recruitment and selection; and,
WHEREAS, CITY desires to employ CONSULTANT to conduct a
recruitment.for the City Manager, as set forth herein,
NOW, THEREFORE, CITY and CONSULTANT mutually agree as follows:
1. SCOPE OF WORK. The scope of work is as set forth in
CONSULTANT's Proposal, submitted by cover letter dated
, which Proposal is incorporated herein by reference.
The scope of~work shall include all items and procedures necessary
to properly domplete the task CONSULTANT has been hired to perform,
whether specifically included in the scope of work or not.
2. COMPENSATION. CONSULTANT shall be paid for services
performed under this Agreement as follows:

This compensation set forth in this paragraph shal'l be the total
compensation for the services provided by CONSULTANT, including all
out-qf-pocket costs incurred. CITY shall pay no fee other than the
compensation listed in this paragraph unless otherwise agreed to in
writing by the CITY.
3. PAYMENT PROCEDURE. CONSULTANT shall be paid for services
rendered after receipt of itemized invoices for the work completed
and approved by CITY in accordance with the terms-of this
Agreement. Payment by CITY to CONSULTANT shall be made within
thirty (30) days after receipt~and approval by CITY of CONSULTANT's
itemized invoice. One-half of the fee and reimbursable expenses
shall be paid upon completion of Work Task No. 8, as identified in
the Proposal, and the balance upon completion of CONSULTANT's
obligations under this Agreement.
4. WAIVER OF DEFAULT. The failure of any party to enforce
against another a provision of this Agreement shall not constitute
a waiver of that party's right to enforce such a provision at a
later time, and shall not serve to vary the terms of this
Agreement.
5. ATTORNEY'S FEES. In any action arising from or related
to the terms of this Agreement, the prevailing party shall be
entitled to recover its attorney's fees and court costs and other
nonreimbursable litigation expenses, such as expert witness fees
and investigation expenses, whether or not such action proceeds 'to
judgment.
6. MERGER AND MODIFICATION. This contract sets forth the
entire Agreement between the parties and supersedes all other oral
or written representations. This contract may be modified only in
writing approved by the'City Council and signed by all the parties.
In the event of a conflict between the terms, ~conditions or
specifications set forth herein and those in Exhibits attached
hereto, the terms, conditions or specifications set forth in this
Agreement (and not the Exhibits) shall prevail.
7. CONFLICT OF INTEREST. CONSULTANT stipulates that
corporately or individually, the firm, its employees and
subconsultants have no financial interest in either the success or
failure of any project' which is dependent on the results of the
studies prepared under this Agreement.
8. COMPLIANCE WITH ALL LAWS. CONSULTANT shall, at
CONSULTANT's sole cost, comply with all of the requirements, of
Municipal, State and Federal authorities now in force, or which may
hereafter be in force, pertaining to this Agreement, and shall
faithfully observe in all activities relating to or growing out of
this Agreement ~11 Municipal ordinances and State and Federal
statutes, rules or regulations now in force or which may hereafter
be in .force.
9. INDEPENDENT CONSULTANT. This Agreement calls.for the
performance of the services of CONSULTANT as an independent
contractor, and CONSULTANT will not be considered an employee of
the CITY for any purpose and is not entitled to any of the benefits
provided by CITY to its employees. This Agreement shall not .be
construed as forming a partnership or any other association with
CONSULTANT other than that of an independent contractor.
10. INSURANCE. During the term of this Agreement, CONSULTANT
shall maintain a single limit broad from commercial general
liability insurance policy in an amount of not less than $1,000,000
per occurrence with combined liability for handling hazardous
materials, personal injury, property damage, automobile liability
and professional liability with a reliable insurance carrier
authorized to do business in the State of California and statutory
Workmens' Compensation coverage.' Said policy or policies of
insurance shall expressly name the City and its agents, officers
and employees as additional insureds. Said insurance shall not be
subject to cancellation, non-renewal, or coverage reduction without
thirty (30) days written notice to CITY. CONSULTANT shall provide
to the CITY proof of insurance endorsements and certificates of
insurance prior to execution of this Agreement. Said proof of
endorsements and certificates of insurance shall be attached to
this Agreement as Exhibit "A".
11. INDEMNITY. CONSULTANT shall indemnify, defend and hold
harmless CITY, its officers, agents and employees against any and
all liability, claims, actions, causes' of action or demands
whatsoever against them., or any of them, for injury to or death of
persons or damage to property arising out of, connected with, or
caused by CONSULTANT, CONSULTANT's employees, agents or independent
contractors or companies in the performance of (or in any way
arising from) the terms and provisions of this Agreement.
12. EXECUTION. This Agreement.is effective upon execution.
It is the-product of negotiation and therefore shall not be
construed against any party.
13. NOTICES. All notices relative to this Agreement shall be
given in writing and shall be sent by Certified or Registered Mail
and be effective upon depositing in the United States mail. The
parties shall be addressed as follows, or at any other address'
designated by notice:

CLASS CHARACTERISTICS:
Under policy direction, to act for the City Council in planning,
directing, coordinating, and reviewing the activities and opera-
tions of the departments and appointive officers of the municipal
government; and to do related work as required.
EXAMPLES OF DUTIES:
Controls and directs the city departments to insure that city
government operations comply with the policies established by the
City Council and with other applicable laws; insures that city
government provides services to citizens; assays the needs of the
community, advises the City Council, and recommends suitable mea-
sures;prepares agenda for and attends meetings of the City Council;
furnishes information and recommendations regarding administrative
aspects of prospective actions; receives assignments from the Coun-
cil; reports on city operations, policies, and problems; represents
the City Council as assigned in re'lationships with other governmen-
tal agencies; administratively directs the activities of the'City
Clerk's Office and is formally designated as City Clerk; reviews
the operations of city departments to establish work standards and
improve methods, and to prepare for the development of an annual

and may disapprove expenditures subject to approval by the Council;
prepares a long-term plan of capital improvements with plans for

which will produce greater efficiency and economy in city government;
supervises the operation of such administrative, services as the

DESIRABLE MINIMUM QUALIFICATIONS:
Training and Experience: Graduation from college with a major in
public administration~ planning, business administration, public
finance, law. or other closely related field, and five years of
experience in a responsible administrative capacity involving respon-
sibility for the planning, organization, and execution of a' varied
work program.
Knowledge, Abilities. and Skills: Comprehensive knowledge of the
principles, practices, and problems of administration, management,
and human relations; comprehensive knowledge of the basic adminis-
trative processes, especially finance management, budget preparation
and control, personnel administration, planning, organization, .com-
munications, and coordination: considerable knowledge of the history,
functions, and goals of municipal governments.

This section provides more narrative detail on RSG's organizational findings and
recommendations, We have followed the same order of presentation found in the
Executive Summary.
CITY MANAGER'S OFFICE
RSG's analysis within the City Manager's Office has resulted in the conclusion that
it is not organized correctly to effectively serve a City the size of Bakersfield. The
City Manager's span of control is much t°o great, with 13 current direct reports.
Executive management responsibility and decision-making is consolidated to a
point that could result in inefficiency, delays,, and oversights. Management
development and mentoring is not readily available within the CM's office with the
existing structure and span of control.
RSG recommends a reclassificatiOn of the Assistant to the CitY Manager (John

The following positions which currently report to the City Manager or Finance.

With the expansion of John. Stinson's responsibilities, additional staff should be
added to the budget function. Our Classification plan recommends the
establishment of both Budget Analyst II and Budget Analyst I classes. Both
positions should be staffed, with the current incumbent, Dunwoody, allocated to
the higher class..
The current AcCountant I who works for the Internal Auditor. spends approximately
25°,/0 of her time on an on-going basis in:.
· analyzing bank statements for the City's 10 bank accounts to identify
transactions which may have been recorded in error;
· reconciling Financial ServiCes journal vouchers with records of cash
transactions to identify, errors as well as preparing memoranda on
corrections which should be made

CLASS TITLE: ASSISTANT CITY MANAGER
CLASS SUMMARY:
Under administrative direction of. the City Manager, plans, organizes, integrates, and
directs the programs, activities, and services of the Human Resources division,
Information Systems division, and Risk Management division, as well as the folloWing
functional areas: budget, public education, intergovernmental relations, and total
quality management; provides policy guidance and coordinates the activities of
assigned divisions and services; fosters cooperative working relationships with civic
groups, inter-governmental agencies and City staff; acts as the City Manager on a
relief basis; performs related work as required.
REPRESENTATIVE DUTIES:

Essential Duties
'Plans, organizes, cOntrols, coordinates, and directs through, subordinate division
managers and other staff the work and results of specified functional areas and units;
develops and directs the implementation of goals, objectives~ policies, procedures and
work.standards for aSsigned functions; works closely with the City Manager, City
Council, other City departments, a variety.of public and private organizations, and
citizen groups in developing programs and implementing projects to solve pro.blems
related to areas of assignment; advises the City Manager and City Council on related
issues and programs; prepares and recommends long-range plans for City services and
programs; develops specific proposals for action on current and future City. needs;
makes interpretations of City regulations and various ordinances, codes'and applicable
laws to ensure compliance; represents the City and works closely with Citizen boards
and commission and public and private officials to provide technical assistance,
· directly or through subordinate staff; coordinates the preparation of a wide variety of
repOrts, or presentations for the City Council, City management, or outside agencies;
directs the selection, supervision and performance evaluation of subordinate unit
personnel; directs and oversees the establishment and maintenance of comprehensive,
effective human resources management programs and systems on a City-wide basis;

DISTINGUISHING CHARACTERISTICS:
In addition to assisting the 'City Manager in varied administration and programmatic
areas, this single-position class has department head-level responsibility for overall
policy development, system planning, fiscal management, administration, and
operation of the Human Resources division, Information Systems division, and Risk
Management division. The emphasis is upon the overall administration skill of the
incumbent. This class is distinguished from the City Manager in that the latter has full
management and administrative resPonsibility for City operations and functions.
QUALIFICATIONS GUIDE:
