BACKG~~UND:
The formation of this maintenance district has been
requested by the.. owner/subdivider of the major portion
of the proposed district, genera~.ly bounded by Dorset Drive
on the north, willow Grove Lane on the west, Meadow Vista
Court nn -the south, and Fairfax Road on r_he east.
This resolution sets tl~e protest hearing for the Council

SUBJECT: This is the time set for public hearing on Resolution of
Intention No, 1041 of~the Council of the City of Bakersfield
declaring its intention to establish Maintenance District No. 18,
generally located west of Fairfax Road and south of Dorset Drive.
RECOMMENDATION:
Motion to adopt resolution establishing Maintenance
District No. 18 and confirming the assessment. Roll
Call vote.
BACKGROUND:
In this particular instance, the purpose of the district
is to maintain slopes, paved benches and drainage
facilities within Lot 22 dedicated to the City on the
face sheet of Tract ,44$7. Thee slopes, with an
intermediate paved bench and drainage facilities, were
.constructed by the developer. at its own expense
according to plans and specifications approved by the
City. The City has accepted the slope construckion as
complete. The slopes have been hydroseeded with native
grasses and will require minimal mair.~tenance, however,
since the integrity of all lots, streets, drainage and
other subdivision improvements in Tracts 4487 and
3933 depend upon the stability of such slopes, a
maintenance district is required to ensure perpetual
monitoring and maintenance. The funds generated as a
result of the establishment o,f the proposed-district
wild be utilized strictly for the purposes of and

applied to the maintenance and upkeep of the slopes
within Lot 22 of Tract 4487. Such funds will not
supplant any City general fund expenditure, either
present or future.
This hearing has been duly advertised, posted and the
property owners notified as required by law.

The undersigned are the owners of all of the lots within
Tract No. 4487 and Lots 47, 46, 49, 50, 51, 52 and 54 of Tract 3933,
Unit A and Lots 1 through 5, 8 through 22 and 29 through 41 of
j~ract 3y33, Unit B, in the vicinity ofr`airfax Road and Panora,~~a
Drive. .We hereby request that the City Council establish a mainte-
nance district pursuant to the provisions of Chapter 13.04 of Title
13 of Municipal Code, encompassing such lots for the purpose of main-
taining the slope easements offered for dedication to the City on
the face sheet of Tract No. 4487.
.The undersigned hereby .consent to the establishment of
such district, consent to the levying of assessments on our lots by
such district to maintain the integrity of the slope easements within
Tract No. 4487 and hereby waive notice .of hearing and hearing before

Dear Mr. 5aalf field:
As we discussed with you and Mary Ellen. this morning, we enclose
herewith revised pages 1 and 3 of the Public works Manager's Report,
revised page 3 of initial Exhibit "A" to Resolution of Intention No.
1047 and revised page 2 of the resolution establishing the protest ,
hearing date.
In revising the description. of permitted improvements within Lot
22, you'll see that we have inserted the word "dry" in front of land-
scaping, deleted ''wetting".and "irrigation systems and equipment" since
we all agree that these slopes and water do not mix.
In a similar vein, the dedication of .Lot 22 on the face. sheet
of Tract 448.7 should prohibit irrigation. Here is some suggested lan-
guage of dedication:

ASSIGNMENT OF INDEMNIFICATION RIGHTS

Dickinson, B.L. Dickinson, Inc., and N.R. Dickinson (hereinafter,
collectively, the "Assigning Parties"~, on the one hand, and the
City of Bakersfield, on the other hand,. with reference to the
f ollewing facts
. WHEREAS, the Council of the City of Bakersffield, State of
California, heretofore adopted on the 22nd day of June, 1988, its
Resolution of Intention No, 1447 declaring its intention to
.establish Maintenance District No. 18 and assess the cost of
maintaining certain local improvements upon the real property
within said maintenance district, in accordance with
chapter 13 , 04 of title 13 of the Municipal Code of -the City of
Bakersfielda and
WHEREAS, the purpose of the Maintenance District iS to
maintain slopes, paved benches ar?~? drainage facilities within
Lot. 22 which is being dedicated to the City by the Assigning
Parties on the face sheet of Tract X487; and
WHEREAS, the Assigning Parties entered into a Mutual
P~elease, Settlement .Agreement, Assignt~ent of Claims, and
Agreement for Prosecution of Further Claims ("Settlement
Agreement") in and around June and July, 1987 which Settlement
Agreement indemnifies them against any and all claims arising out
of any faults or defects in the reconstructed slope on the
boundary between Tracts 3933A and 39338 and Tract 4487 and, in
particular, Lot 22 of Tract Q487; and

WHEREAS, the City of. Bakersfield has agreed to take title to
Lot 22 of 'bract 4487, fee. simple absolute, upon presentation by
the Assigning Parties of an assignment of the indemnification
rights granted to them, pertaining to Lot 22 of Tract 4487
pursuant to the terms of the Settlement Agreement,
N0~7, THEREFORE, for good. and valuable consideration, receipt
of Whlch 1S hereby acknowledge, the parties hereto agree as
follows:
1. .The Assigning Parties hereby assign to the City of
Bakersfield all their right and interest, under the terms of the
referenced Settlement Agreement, to be indemnified,and held
harmless with respect to claims arising out of any faults or
defects in the reconstructed real property within LQt 22 of
Tract 4487. The Assigning Parties further assign all. their right
and interest to the proceeds of any liability insurance provided
by contractors, engineers or design professionals, and listing
the Assigning Parties as additional insureds, in conr:ection with
their work on the reconstruction of the slope on Lot 22 of
Tract 4487.
2. Each of the Assigning Parties hereby expressly
represents and warrants that he or she is authorized to act fcr
and on behalf of each of the parties for which he or she executes
this Assignment of Indemnification Rights and that each of the
Assigning Parties is authorized to assign the rights and
interests assigned hereunder.
