The formation of this Maintenance District is a condition
of Parcel Map No. 8267 for the East Hills Shopping Project.
The proposed district is generally bounded by Free-~vay 178
on the north, Mount Vernon Avenue on the west, Bernard Street
on the south and Orwell Street on the east.
The resolution sets protest hearing for the Council meeting
of November 30, 1988.

OFFSITE IMPROVEMENTS AGREEPRENT ~ ~ ~ ~ Q
This OFFSITE IMPROVEMENTS AGREEMENT (the "Agreement") is made
and entered into the day and year hereinafter set forth, by and
between the CITY OF BAKERSFIELD ("City") and EASTpBAKERSFIELD
ASSOCIATES, a California general partnership in which Ernest W.
Hahn, Inc. ("Hahn"), a California corporation, and MALCOLM BROCK
COMPANY, a California corporation, are the general partners
("Developer").
WHEREAS, Developer is the fee owner of certain real property
located in the City of Bakersfield, County of Kern, State of
California (the "Project") and plans to develop said ,property with a
regional shopping center;
WHEREAS, in connection with development of the Project, City
requires the construction of certain offsite improvements; and
WHEREAS, it is to the mutual benefit of Developer and City for
the construction of the offsite improvements to be completed in
accordance with the terms and conditions of this Agreement.
NOW, THEREFORE, in satisfaction of the requirements of GPA
1-86, Segment I Planning Commission Resolution No. 27-86, City
Council Resolution No. 37-86; Zone Change 4527, Planning Commission
Resolution No. 76-86; City Council Ordinance No. 3079; and in
consideration of the issuance by City of the first certificate of
occupancy, the parties hereto agree as follows:
1. Before commencement of grading, Developer will perform the
following:
A. Develop a Project drainage plan for review and
approval by the City Engineer. Such drainage plan shall generall

be based upon the 1979 Plan discussed in the Draft Environmental
Impact Report ("EIR") on the Project and shall also consider the
utilization of on-site storm water retention and utilization of the
Cal Trans basin located adjacent and immediately to the north of the
Project site.
B. Reimburse City approximately Six Thousand Dollars
(6,000) for the cost of conducting on-site noise measurements b a

registered acoustical engineer at residential units located along
Bernard Street.
C. Design the major on-site East-West circulation road,
to the satisfaction of the City Traffic Engineer, and in such a
manner as to facilitate the ultimate extension of this circulation
road onto the property located immediately west of the Project
site. Developer shall provide City with either a (i) design plan or
(ii) an agreement, acceptable to City, with the property owner
adjacent and immediately west of the Project site for the potential
extension of the major east west circulation road as outlined in the
Final EIR.
2.' As conditions precedent to City's issuance of building
permits for the Project:
A. Developer shall work with the Golden Empire Transit
District to ensure the provision of adequate bus system routing and
service to the Project. Final Project plans shall include an
adequate number of covered bus stops to help encourage utilization
of public transit systems as a means of convenient and comfortable
access to the Project,
B, Developer shall submit to the Director of Planning for
City, and the Director of Planning shall have approved, a program
for mitigation of projected future increased noise levels created by
the Project within residential dwellings along Bernard Street
between Oswell Street and Mt. Vernon Avenue.
C. Developer shall deposit sufficient funds with City to
enable City to have the site inspected by a qualified wildlife
biologist prior to the initiation of on-site construction
activities. Should such an inspection disclose the presence of
inhabited kit fox dens on the site, Developer shall be responsible,
to the satisfaction of City, for excavation of dens and relocation
of any impacted kit foxes to suitable alternate locations. Prior to
the date of execution of this Agreement, the Project site was
inspected by a City approved wildlife biologist. The report filed
with City by the wildlife biologist states that no kit fox dens were
found on the Project site.
3. As conditions precedent to approval by the City's Planning
Department and Department of Public Works of the issuance of the
first Certificate of Occupancy, Developer shall fulfill the
following. obligations:
A. (i) Construct an on-site sump ("Sump. A") and (ii)
modify and improve the Cal Trans sump ("Sump B") located north of
the Project site along State Route 178 to handle Project induced
storm runoff by (a) clearing and grubbing the basin, (b) grading the
basin to City standards, (c) constructing an access ramp ~to City
standards, and (d) replacing the fence to City standards; in
addition, Developer shall provide or cause to be provided (e)
evidence of dedicated and traversable access to Sump B and (f)
verification of basin capacity ~to City and State standards.
B. Post a One Hundred Thousand Dollar (100,400)
irrevocable letter of credit, in form reasonably acceptable to City,
~-o guarantee construction of a traffic signal, if needed, at the
west main entrance to the Project site along Bernard Street, within
three years of completion and occupancy of ninety percent (900) of
the maximum gross leasable area set by the Final EIR for the one
hundred and six (106) acre development. City shall release and
deliver the letter of credit to Developer upon Developer's
completion of such traffic signal. If the need for a traffic signal
has not been determined by the City Engineer by the end of the time
period specified herein, Developer shall be relieved of the
responsibility for construction of the traffic signal, and City
shall release and deliver the letter of credit to Developer.

C. Redesign and reconstruct the intersection of Bernard
Street and Oswell Street, in accordance with City standards and with
the approval of the City Traffic Engineer, with the followin

features:
(i) Northbound Lanes: a second left turn lane in
addition to the two through movement lanes.
(ii) Southbound Lanes: aright turn lane in addition
to three through movement lanes and a left turn lane.
(iii) Eastbound Lanes: a fourth lane approaching
Oswell Street; two lanes for left turning movements, one for throw h

movements and one for right turning movements; modify the left turn
phase of the traffic signal for east west traffic.
(iv) Westbound Lanes: change the designation of the
curb lane to permit optional through movements or right turning
movements.
D. Design and construct the following improvements at the
Oswell Street/Eastbound State Route 17S off-ramp:
(i) Northbound Lanes: widen the roadway to provide a
third through movement lane.
(ii) Southbound Lanes: no improvements required.
(iii) Eastbound Lanes: widen the off-ramp to provide a
second right turn lane; make appropriate traffic si na1

modifications.
E. Design and construct the following improvements at the
Oswe11 Street/Westbound State Route 178 ramps:
(i) Northbound Lanes: widen the roadway to lengthen
the left turn lane as an extension of the recommended third
northbound through movement lane at the intersection to the south.
(ii) Westbound Lanes: designate the northernmost lane
of the off-ramp for optional right turning, through or left turnin

movements; the southernmost lane would be for left turning movements.
F. Design, construct and install a ~,ultiphased traffic
signal, with protected north to west left turn phasing
interconnected with the signal referenced in the preceding
recommendation, at Mt. Vernon Avenue/Bernard Street:
(i) Northbound Lanes:
(11) Southbound Lanes:
a right turn lane.

(iii.) Eastbound Lanes: a left turn lane in addition to
the two through movement lanes.
(iv) Westbound Lanes: two additional lanes
approaching Mt. Vernon Avenue; designate two lanes for left turning
movements, one Lane for through movements and one lane for right
turning movements; modify the traffic signal to add a left turn
phase for east west traffic.
G. Design, construct and install the following
improvements to State Route 178 at Mt. Vernor~ Avenue: add a two
lane eastbound off-ramp terminating at Mt. Vernon Avenue and a
westbound on-ramp from Height Street and install interconnected
traffic signals at the Mt. Vernon Avenue/Eastbound State Route 178
off-ramp and Mt. Vernon Avenue/Height Street intersections.
H. Access to and from the Project site from Bernard
Street shall be limited to two major (full turn movement capability,
with signalization, etc.) and three minor (right turn only, median
restricted) ingress-egress points. Landscape medians, designed to a
`standard to be approved by City, shall be installed by Developer on
Bernard Street, approximately along the boundary of the Project, to
help control Project access points. All related improvements and
the maintenance of landscaped medians on Bernard Street shall be
.paid for by Developer. Developer shall set up a landscape

I. The design for the .Project site shall include the no
parking zone along the north side of Bernard Street abutting the
Project site. Developer shall provide the necessary signs and labor
for installation of same.
~. Satisfaction of all. conditions of Site Plan Review for
Zone Change 4527.
K. Perform work on the State of California's (the
"State") right-of-way along State Route l78 at Mt. Vernon Avenue and
Oswell Street, as required under the Cooperative Agreement and
Memorandum of Understanding. between City and State, a copy of which
is attached hereto as Exhibit A and incorporated herein by
reference. City agrees not to modify or amend the Cooperative
Agreement or Memorandum of Understanding without obtaining
Developer's prior written consent.
L. Developer shall have fulfilled its obligations under
the approved noise mitigation program referred to in Paragraph 2.B
above.

4, Developer shall deposit with City within thirty {30) days
after the execution of this Agreement the sum of Forty Thousand
Dollars (40,000), to cover the total estimated costs of the review
and coordination to be performed by State throughout the project's
development and construction,
5. City may submit supplemental billings to Developer
requesting additional deposits, if State's review and coordination
costs are expected to exceed the original deposit.
6, The costs to be charged ~o Developer for State's review and
coordination will include all direct and indirect costs (functional
and administrative overhead assessment) attributed to such work,
applied in accordance with State's standard accounting procedures.
7. Prior to the issuance of any permit to perform work within
the public right-of-way, Developer agrees to post a letter of credit
for said work as described in Articles 16,32.020 and 16.32.030 of
the Bakersfield Municipal Code. Said security will be posted in the
amount required under Article 16,32.040 of the Bakersfield Municipal
Code. Developer agrees to pay all plan check fees in accordance
with City Ordnances and Executive Orders 86-18 and 86-19 or later
Executive Orders in effect at the time of plan submittal.
8. A strip of land which is part of Sump B (the "Land Strip")
shall have an easement or an encroachment placed upon it by City in
favor of Developer, no later than thirty (30) days after
relinquishment of the Land Strip by State. The easement or
encroachment shall be for landscape, roadway and utility purposes
only. No permanent building shall be allowed on the Land Strip.
9. Developer delivers herewith a check payable to City in the
amount of Fifteen Thousand Dollars (15,000), representing
Developer's share of the cost of the completed installation of the
traffic signal on Bernard Street at Oswe11 Street, all as provided
for in the 1979 General Plan Amendment,
l0. The obligation of Developer to complete the improvements
described herein shall be subject to an extension of time for
completion in the event of unavoidable delays including, without
limitation, any delays due to strikes or other labor disputes,
shortages of material or labor, default of any contractor, acts of
God or of the public enemy, fires, floods, epidemics, quarantines,
restrictions, freight embargoes, weather conditions and unsuitable
conditions of the ground due to undue precipitation or other similar
wet conditions, or other conditions or causes beyond the reasonable
control of Developer, and any consequential delays resulting from
any such cause or causes.
11. This Agreement is the entire, final and complete agreement
of the parties hereto and supercedes and replaces all written and
oral agreement heretofore made ar existing by and between the
parties and their representatives as to the matters which are the
subject of this Agreement.

12. This Agreement shall bind and inure to the benefit of the
parties hereto and their respective heirs, executors,
administrators, personal representatives, successors in interest and
assigns including, but not limited to, another partnership ~.n which
Hahn is a general partner.
13. The parties hereto agree that at all times they shall
respectively cause to be done, executed, acknowledged and delivered
any and all such .further acts, documents, instruments and assurances
as may be required in the performance of the terms and conditions of
this Agreement.
IN WITNESS WHEREOF, the parties hereto have entered into this
Agreement this 9th day of September , 1987.
