I will address the matters raised in your letter; however, I would like to first point out that your letter completely ignores the history of the project and IFS's obligations under Paragraph 4 of the bond. In May of 2004 IFS was made awaze that Mr. Byrd was not performing the contract. The Bakersfield Homeless Center followed the contractually required notification and meeting procedures, which aze documented in Jeff Green's July 1, 20041etter to IFS and Mr. Byrd. IFS had many options that it could have pursued at that time. Instead they did nothing. Mr. Byrd was declared to be in default on July 1, 2004. During conversations between Mark Wollock of IFS, Louis Gill and Jeff Green, which aze documented in my October 11, 20041etter, Mr. Gill and Mr. Green were told that it was likely that IFS would deny the claim. This statement was made without any investigation whatsoever. Pursuant to paragraph 5 of the bond, IFS had 15 days from July 1, 2004 to "proceed as provided in paragraph 4 with reasonable promptness." IFS did nothing. As is stated in my October 11, 2004 letter, due to the State's requirements regarding completion of the project and utilization of the loan proceeds, the loan was going to be recalled unless a Certificate of Occupancy was obtained. This forced the Bakersfield Homeless Center to utilize operating funds and the retention to complete the work required by the City of Bakersfield, TELEPHONE (661) 328-8962 FACSIMILE (661) 326-1127 February 9, 2005 LEBEAU ^ THELEN, LLP James R. Pranger, Esq. Chutak & Tecson, P.C. February 9, 2005 Page 2 in order to obtain a Certificate of Occupancy. This placed a great deal of financial stress on this non- profit organization. IFS's delay and bad faith almost had the effect of putting over 170 people, the majority which aze women and children, out on the street with no place to live. IFS had ample opportunity to step in and control the situation and complete the contract as provided for by Paragraph 4 of the Bond, but it chose to ignore the situation completely until the Homeless Center was forced to hire an attorney. IFS waited until November 22, 2004 to even visit the construction site. Therefore, IFS cannot complain about acts taken by the Bakersfield Homeless Center to mitigate the serious problems caused by IFS's delay. All the monies expended by the Homeless Center were spent to protect their clients. Your letter makes reference to detailed discussions with Mr. Provenzano and his opinions regarding the problems with the bids. However, you failed to provide us with Mr. Provenzano's view of what is owed under the Bond. The Bakersfield Homeless Center cannot be criticized for having little or no detail regazding unpaid suppliers, since suppliers have not complained to the Bakersfield Homeless Center, and they were not hired by them but by Mr. Byrd. IFS has been provided with all of the information that the Bakersfield Homeless Center has regarding unpaid suppliers. I respond to the points raised in your letter as follows, in the same order: 1. As Mr. Provenzano was told, it was very difficult for the Bakersfield Homeless Center to get anyone to bid on the project due to the building boom in Kern County and the fact that it is always more difficult to get someone to complete a job once it is partially finished and abandoned. The two bids obtained were from two legitimate licensed contractors. 2. At the time that the approvals were made, many of the construction problems were not appazent and the Bond does not contain any language which would allow IFS to evade liability for such a situation. 3. What wages does IFS feel aze appropriate and why? 4. Please see discussion regazding Item 1 above. In addition, if Mr. Provenzano disagrees with the bid, what is his estimate of what it would cost to properly complete the project? f LEBEAU ^ THELEN, LLP James R. Pranger, Esq. Chutak & Tecson, P.C. February 9, 2005 Page 3 5. We disagree with your position. There is no provision in the bond which allows IFS to evade liability on this basis. However, your letter does not state how much of the bond relates to this work. 6. Untrue. You have been misinformed. The architect was aware of the specifications and he provided the binder to me at Mr. Provenzano's request. The delay in sending it to you is attributable to me. 7. We disagree with your position but, again, you have failed to identify the amount of the overpayments. If suit is commenced this number will be discoverable. 8. Eight is so vague that I cannot respond. What work should be qualified as extras above and beyond the original contract? As stated above, the Homeless Center was doing the best it could so that it would not lose its loan and have to close due to IFS's delay; 9. Where are the numbers? Where is the analysis? All of the retention has been spent to obtain the Certificate of Occupancy. What does IFS consider legitimate uncompleted work? Please identify the amount of the overpayments. If suit is commenced these issues will all be litigated. It is appazent that IFS wants to use its superior economic and bargaining power to resolve the claim for "nuisance value." The letter is void of any specifics which would allow a proper evaluation of IFS's assertions. If IFS does not believe that the two bids the Bakersfield Homeless Center obtained aze legitimate, what is its bid for completion of the project? IFS can clearly avail themselves of Pazagraph 4.1 and arrange for a contractor to perform and complete the construction contract. If the Homeless Center's estimates aze too high, we invite IFS to get a "legitimate" bid or hire a contractor to complete the work. Further evidence of IFS's bad faith is the fact that they sent a contractor from Detroit, Michigan, unfamiliar with California or Bakersfield, to evaluate the project. How could he possibly provide you with valid estimates when he is completely unfamiliaz with the local contracting situation, availability of qualified contractors and cost of materials locally? ,, , LEBEAU ^ THELEN, LLP ~~., James R. You are correct that the contract price was $464,000 and that project was approximately 75% completed at the time that Mr. Byrd stopped work. It is also correct that the bid amounts we have received are greater than the amount of retention. These facts, however, are not a legal basis to deny the claim of the Bakersfield Homeless Center: You indicated that based on your preliminary review it does not appear possible that the remaining 25% of the work could legitimately be bid at $250,000 to $400,000. Your preliminary review does not take into account construction defects or the-fact that the price of materials and labor have increased since the initial bid for the construction. IFS has an obligation to investigate this claim. No representative or agent from IFS has inspected the premises. The fact that you believe the estimates submitted by the Bakersfield Homeless Center are above what you tentatively believe it would cost to complete the project does not create any legal basis upon which to deny this claim. There is no legal or contractual basis for IFS to deny the claim and a denial would constitute a bad faith breach of contract. The Bakersfield Homeless Center has complied with all of its obligations under the Performance Bond which places a duty on IFS to meet their obligation under the bond by selecting one of the options under paragraph 4 of the bond after completing a reasonable investigation of the claim. `~. t ti^~ ~ ~ ,: ~- LEBEAU ^ THELEN, LLP James R. On October 9th , 2004, I was asked to go out and inspect the homeless center. I was informed that I was going to sign off one phase of the building relating to Fire sprinkler system. It was noted during my inspection that the kong on the riser had been put in backwards and did not function. that was corrected while I was onsite and tested. I signed off on that phase after noting the correction. As part of the phase one sign off, Mr. Steve Prasser, head administrator agreed to maintain a fire watch until the alarm system was up and functioning. I was called on January 30th to conduct a final on the alarm and sprinkler system. Once I apprived I noted that that several items still had not been completed. Most notably, Smoke detector had not been installed in one of the main sleeping areas. Dampers to HVAC system were missing. I informed Mr. Prasser, that I could not sign off on the system until completed. If you recall Ralph, you were involved with that phone conversation. 1 have concerns that the fire watch is not being implemented as a condition of occupancy. Which more or less brings up up to date: I have had no further word on the completion of this project. I was told by Dave Weirather, that the general contractor has walked off the job. I have not hear from Mr. Prasser since that inspection in Jan. The status of this job is undetermined at this point in time. However a large contingent of homeless are staying there. This information is specific to fire preparedness in minimizing the effects of emergencies and accidents. It is written for the safety and welfare of our clients and employees. See attached floor plan for location of fire extinguishers in the Dorm. ^ Dorm staff know the location of all extinguishers and have been trained in how and when to use them ^ If the fire is beyond the effective use of fire extinguishers, Dorm staff will discontinue fighting and evacuate immediately ^ Dorm employees are familiar with the exit plans posted throughout the facility. The Client Services Supervisor has planned escape routes out of the Dorm and has assisted all Dorm staff to become familiar with the routes ^ The Client Services Supervisor has assigned Safety Officer status to an . employee in each Dorm shift (3 -11p.m, and 11 p.m. - 7 a.m. and 7 a.m. - 3.p.rn.) ^ The Safety OfFcer on each shift in the Dorm will maintain Fire Watch Log on an 24-hour !hourly basis, patrolling the interior and exterior of the Dorm. If needed, notify other building occupants as well. • It is the Safety Officer's responsibility to verify that the Fire Department has been notified and is responding. • The Safety Officer will confirm the address and fire location with the Fire Department Dispatcher. • Able bodied employees should assist the visually impaired out the nearest exit and to a safe location. • All doors should be closed (but not locked) after leaving to prevent the spread of the fire. • If you're in an isolated part of the building and need assistance, keep yelling fo.r help. • If your door is closed, feel the door with the back of your hand for heat. If the door or the knob is hot, Do Not Open It! The fire may be right in front of the door. If it is not hot, open the door slowly and check• the hallway to see if it is clear. • If you smell or see smoke, get on your hands and knees if possible and proceed to the nearest exit. Carbon monoxide (a fire by-product) is odorless and colorless, but it takes away the oxygen present in a room. Our bodies will absorb carbon monoxide 300 times faster than oxygen. • As you leave, close your door but Do Not lock yourself out because you may have to retreat back if your path is blocked ahead. If there's a lot of smoke; if possible stay on the floor and as close to the wall as possible so people who may panic will not trip over you. Exit the building and find a safe place to assemble for a person by person count. 14 ~• .~ IN CASE YOU ARE CONFINED TO YOUR WORK AREA, DON'T PANIC! YOU CAN DEFEND YOURSELF AGAINST THE FIRE. HERE ARE THE STEPS YOU MIGHT TAKE: • If the telephones work, let someone know you are trapped in the building. Make sure you tell them exactly were you're located. Trust that their help is on the way. • Place articles of clothing around cracks in the door to keep smoke out (not applicable to several offices with partitioned walls as smoke will come in from the top). Keep these articles wet if you have a water source. • Utilize wet articles of clothing over your face to help keep the smoke and carbon monoxide from hindering your breathing. • If smoke or flames are coming up from outside the building, remove all combustible materials from around the windows. Truxtun Ave Dear Mr. Huey, I would like to thank you and your department for the assistance you have provided on this project. It has been a difficult process since the contractor walked off the job and made it necessary to proceed with his bonding agent. The correspondence between the lawyers continues and we currently await a response to our last request. This time consuming part of a trying situation is necessary as we need around $250,000 to complete the job. As discussed at our meeting of March 30, 2005, this letter will serve as a brief history of the work that has been completed and to delineate work that is to be completed in the future. The overall rehab of our facility is about 80% completed. We have worked to meet all health and safety measures that were brought to our attention by both the city inspectors and your office. • Room Doors have been installed with sweeps for fire rating • Fire taping completed in all hallways and in ceiling space • Fire alarm system has been installed • Monitoring contract has been executed with Tel-Tec Securities • Sprinklers have been installed and charged in 80% of bldg , • Dampers and Alarm Zones are reported to be operational (will call for inspection) • Families have been moved from rooms without fire sprinklers • Battery operated smoke alarms have been installed as requested We have not received a response from the lawyer representing the bonding company. Our lawyer has advised the board that this may not be resolved quickly. If the bonding company decides to release funds in the near future we wilt immediately move to complete the project. If we have no resolution within 120 days (August 31, 2005) then BHC will take action as required. Therefore as requested by the Fire Prevention Department, BHC wit[ commit to completing the remaining 20% of the fire sprinkler system.
