A RESOLUTION OF THE COUNCIL OF THE CITY
OF BAKERSFIELD CONSENTING TO AND AUTHORIZING
THE EXECUTION OF A REIMBURSEMENT AGREEMENT
WITH THE BAKERSFIELD REDEVELOPMENT AGENCY.
WHEREAS, the Bakersfield Redevelopment Agency desires to
acquire land in the Downtown Bakersfield Redevelopment Project in
order to implement the Redevelopment Plan for the Project and to
cause the construction of a publicly-owned parking garage in the
Project; and
WHEREAS, the City Council and theBakersfield Redevelopment
Agency have determined and found by resolution that the expenditure
of funds to acquire land and to construct a publicly-owned parking
garage in the Project are of benefit to the Project; and
WHEREAS, the City of Bakersfield intends to advance moneys
to the Agency to acquire land in the Project to transfer title
to property to the Agency to implement the Redevelopment Plan
and to cause the construction of a publicly-owned parking garage
in the Project.
NOW, THEREFORE, BE IT RESOLVED THAT THE COUNCIL OF THE
CITY OF BAKERSFIELD hereby consents to and authorizes the execution
by the Mayor of a "Reimbursement Agreement" with the Bakersfield
Redevelopment Agency (a copy of which is attached hereto and
labeled as Exhibit '~" and is incorporated herein by this reference)
to permit the Agency to acquire land in the Downtown Bakersfield
Redevelopment Project to implement the Redevelopment Plan and to
cause the construction of a publicly-owned parking garage in the
Project.

I HEREBY CERTIFY that the foregoing Resolution was passed
and adopted by the Council of the City of Bakersfield at a special
meeting thereof 'held on the 18th day of March, 1974, by the follow-

REIMBURSEMENT AGP~EEMENT
THIS REIMBURSEMENT AGREEMENT is made as of
1974, by and between the BAKERSFIELD REDEVELOPMENT AGENCY (the
"Agency"'), a public body corporate and politic organized and
existing under the laws of the State of California, and the
CiTY OF BAKERSFIELD (.the "Cit" municipal corporation duly

organized and existing under its Charter ·and the laws of the
State of California.
I. IS 100] REdITALS
A. [S 101]· The Agency is a redevelopment agency duly
created, established, and authorized to transactbusiness and
exercise its powers, all under and pursuant to the California
Community Redevelopment Law (Heal'th and Safety Code, Section
33000 et seq.).
B. [S 102] A Redevelopment Plan for a redevelopment
project, known and designated as the "Downtown Bakersfield
Redevelopmerit Project" has been adopted and approved~ and all

requirements of law for, and precedent to, the adoption and
approval of said Plan have been duly complied with.
C. IS 103] In accordance with and to implement Said
Redevelopment Plan, the Agency is acquiring certain parcels of
land (referred to individually and designated as the "Garage
Parcel" "Parcels A and B" "Parcel C" and "Parcel F" in
Exhibit "A" which is attached hereto and incorporated herein

by this reference); is causing the construction of a parking
garage structure on the Garage Parcel and Parcels A and B; is
leasing the Garage Parcel. and Parcels A and B and the parking
garage structure to the City pursuanttoa lease agreement to
be entered into between the City and the Agency; and is seeking
the redevelopment of Parcel C and Parcel 'F pursuant to.agree-
merits presently executed or to be entered into in the future.
The Agency,.pursuant to the lease agreement to be entered be--
tween the City and Agency and·pursuant to certain agreements

pr~sent!y'eXecuted, will issue revenue bonds for the purpo~
of~constructing the parking garage and to acquire the. Garage
Parcel, Parcels A and B, Parcel C, and Parcel F.
D. [S 104] The Agency and the City Council each have
determined by resolution pursuant to Section 33445 of the
Community Redevelopment Law that the parking garage structure
is of benefit to the Downtown Bakersfield PrOject area, and
that the Agency may, with the consent of the City Council~
pay for all costs of the parking garage structure.
E. IS 105] The City by this Agreement is agreeing to
transfer title to Parcel C and Parcel F to the Agency and to
advance to the Agency an amount of money necessary for the
Agency to acquire the Garage Parcel and Parcels A and B.
F. [~ 106] .The Agency by this Agreement is agreeing
to acquire Parcel C a~d Parcel F from the City and to reim-
burse the City for its transfers of title and 'advances to the
Agency. It is contemplated that such reimbursement will be
made from tax increments, proceeds from the sale of land,.
proceeds from bonds, or any other funds available to the
Agency for such reimbursement.
II. [S 200] AGREEMENT
The City and the Agency hereby agree as follows:
A. IS 201] Transfers of Title to Parcel C and Parcel. F
From the City to the Agency.
By grant deeds in the form described herein,. the City.
agrees to transfer title to Parcel C and Parcel F to'the
Agency and the Agency agrees to accept title thereto. The
grant deeds shall contain covenants, conditions, and restric-
tions which provide that Parcel C and Parcel F shall be used
and developed in conformity with the Redevelopment Plan and
~ha~_ther_e_shall be no discrimination lagainst or segregation
of any. person, or group of persons, on accountof sex, race,
color, creed, national origin or ancestry in the sale, lease,
sublease, transfer,.use, occupancy, tenure of Parcel C,
Parcel F, and any part or portion thereof. The AgenCy agrees

:.'to reimburse the City in the amount and according to the terms
~and conditions set forth in Section 203 of this Agreement and
agrees that it shall provide in each subsequent grant deed to
.Parcel C, Parcel F, or any part or portion thereof, the covenants,
conditions, and restrictions provided in this Section 201.
B. (§ 202) Advances' by the' City to the'Agency to
AcqUire the Garage Parcel and'Parcels
A and B
The City agrees to convey title to Parcels C and F valued at
· One Hundred Five Thousand Dollars ($105,000.00) and to advance to
the Agency the sum of Three Hundred Forty-Eight Thousand Dollars
($348,000.00) to permit the Agency to acquire the' Garage Parcel
and Parcels A and B. The Agency agrees to reimburse the City in
the amount and according to the terms and conditions set forth in
Section 203 of this Agreement.
C, (§ 203) Reimbursement
The Agency agrees to reimburse the City for its transfers of
title and advances in the amount ofFour Hundred Fifty-Three Thousand
Dollars ($453',000.00). 'Said amount shall be paid to the City from
proceeds from the sale of the revenue bonds, from the sale of
Parcels C and F, from tax increments accruing to the Agency pur-
suant to the Redevelopment Plan in accordance with Sections 33670-
33674 of the Community Redevelopment Law, and from any funds which
may be legally available to the Agency for payment of said amount.
:'; IN WITNESS WHEt~EOF, the partie~ have executed this
bursement Agreement as of the date first set out herein.
