California, that:

I HEREBY CERTIFY that the foregoing
passed and adopted by the Council of the City
regular meeting thereof held on the 20th day of Apl~il
1983, by the following vote:

WHEREAS, this Council has received a written offer from
~UNICICORP of Californig hereinafter the "Purchaser",
to purchase Bonds to be issued to represent unpaid assessments
levied in proceedings had pursuant to Resolution of Intention }~.
955 adopted by the Council of the City of Bakersfield on March 16,
1983; and
WHEREAS, the public interest and convenience will be
served by the acceptance of said offer.
NOW, THEREFOR[!], IT IS ORDERED, AS FOLLOWS:
1. That said Bonds be, and they are hereby, ordered
sold to the Purchaser, said sale to be subject to all of the terms
and conditions set forth in said written offer.
2. That the Finance Director is hereby directed to
cause said Bonds to be prepared, and that the same be immediately
executed and delivered to the Purchase~ on receipt of the purchase
price therefor and upon the performance of the conditions con-
tained in said written offer.
3. That the intprest rate or rates of said Bonds be
fixed at the rate or rates stated in said written offer.
